This is a fully remote position, open to applicants in United States.
• Oversee and provide guidance to the Company regarding healthcare obligations, particularly focusing on federal and state Medicare and Medicaid laws, regulations, policies, and related updates.
• Conduct legal assessments of healthcare-related case law and policies, evaluating their potential effects on client programs, policies, and operational strategies.
• Identify associated risks and foster relationships with external legal advisors concerning healthcare finance and policy matters.
• Offer comprehensive legal counsel on corporate governance, compliance, and general business issues.
• Recognize legal risks and deliver practical, business-focused advice to management and internal stakeholders.
• Provide counsel and represent the Company in negotiations related to state/local government and commercial contracts.
• Review, prepare, and edit contracts, procurement documents, proposals, and various legal papers.
• Draft Business Associate Agreements (BAAs), Data Use Agreements, and other pertinent documents.
• Assist throughout all stages of M&A activities, including due diligence, deal documentation, management of external counsel, and integration processes.
• Evaluate external marketing materials for legal compliance and accuracy.
• Support internal team initiatives, risk mitigation strategies, and the oversight and management of external counsel engagements.
• Juris Doctor (JD) degree from an ABA-accredited institution.
• Must be in good standing in at least one U.S. jurisdiction.
• Must be in good standing or capable of obtaining admission as corporate counsel within one year to the Pennsylvania Bar.
• 5 to 7 years of relevant professional legal experience.
• Extensive generalist experience in corporate and commercial matters.
• Significant experience in healthcare-related legal issues, such as Medicaid, Medicare, managed care, or provider/health system operations.
• Familiarity with common law and state and federal legislation pertinent to Company operations, including Medicare and Medicaid.
• Competence in conducting legal research and interpreting, analyzing, and organizing facts, evidence, and precedents.
• Proficiency in interpreting and drafting contracts and other legal instruments.
• Preferred familiarity with contract management systems and compliance tools.
• Exceptional verbal and written communication skills.
• Strong interpersonal and customer service abilities.
• Outstanding organizational skills and meticulous attention to detail.
• Excellent time management skills with a demonstrated ability to meet deadlines.
• Strong analytical and problem-solving capabilities.
