This is a fully remote position, open to applicants in United States.
• Oversee and provide guidance to the Company regarding healthcare obligations, particularly concerning federal and state Medicare and Medicaid laws, regulations, policies, and associated developments, including litigation.
• Conduct legal analysis of healthcare-related case law and policies, assessing their potential effects on client programs, policies, and operational strategies.
• Recognize associated risks and foster relationships with external legal counsel on healthcare finance and policy matters.
• Offer comprehensive legal counsel on corporate governance, compliance, and general business issues.
• Identify legal risks and deliver practical, business-oriented advice to management and internal stakeholders.
• Counsel and represent the Company in negotiations involving state/local government and commercial contracts.
• Examine, prepare, review, and modify contracts, procurement documents, proposals, and other legal documents, including BAAs and Data Use Agreements.
• Aid in all aspects of M&A activities, including due diligence, deal documentation, external counsel management, and integration.
• Support Marketing initiatives by reviewing external materials for legal adherence and accuracy.
• Assist functional teams with internal projects, risk mitigation strategies, and the oversight and management of outside counsel engagements.
• Juris Doctor degree from an ABA-accredited institution.
• Admission in good standing in at least one U.S. jurisdiction is mandatory.
• Admission in good standing, or the ability to secure admission as corporate counsel within one year, to the Pennsylvania Bar is essential.
• 5 to 7 years of professional legal experience is required.
• Extensive generalist experience across corporate and commercial matters.
• Significant experience in healthcare-related legal issues, including Medicaid, Medicare, managed care, or provider/health system work.
• Familiarity with common law and relevant state and federal laws associated with Company operations, particularly Medicare and Medicaid.
• Proficiency in conducting legal research and interpreting, analyzing, and organizing facts, evidence, and precedents.
• Capability to interpret and draft contracts and other legal documents.
• Exceptional verbal and written communication abilities.
• Strong interpersonal and customer service skills.
• Outstanding organizational skills and attention to detail.
• Excellent time management skills with a proven track record of meeting deadlines.
• Strong analytical and problem-solving capabilities.
• Ability to thrive in a fast-paced and occasionally stressful environment.
• Capability to maintain confidentiality while exercising discretion and sound judgment.
• Working knowledge of M&A processes is preferred.
• Familiarity with contract management systems and compliance tools is also preferred.
• A blend of in-house, government, and law firm experience is preferred.
