Assistant General Counsel – Healthcare Generalist Attorney

This is a fully remote position, open to applicants in Pennsylvania.

📋 Description

• Oversee and provide guidance to the Company regarding healthcare obligations, particularly concerning federal and state Medicare and Medicaid laws, regulations, policies, and related updates.

• Conduct legal assessments of healthcare-related case law and policies, evaluating their potential effects on client programs, policies, and operational strategies.

• Recognize associated risks and foster relationships with external legal counsel on finance and policy issues related to healthcare.

• Offer comprehensive legal advice across areas including corporate governance, compliance, and general business issues.

• Identify legal risks and deliver practical, business-focused recommendations to management and internal stakeholders.

• Counsel and represent the Company in negotiations involving state/local government and commercial contracts.

• Review, prepare, examine, and revise contracts, procurement documents, proposals, and other legal materials.

• Draft Business Associate Agreements (BAAs), Data Use Agreements, and similar legal documents.

• Assist throughout all stages of M&A activities, including due diligence, deal documentation, management of outside counsel, and integration.

• Contribute to marketing efforts by assessing external materials for legal compliance and accuracy.

• Support internal team projects and risk mitigation strategies across functional areas.

• Oversee and manage engagements with external counsel.

⛳️ Requirements

• Juris Doctor degree from an ABA-accredited institution.

• Must be admitted in good standing to practice in at least one U.S. jurisdiction.

• Must be admitted in good standing, or capable of obtaining admission as corporate counsel within one year, to the Pennsylvania Bar.

• 5 to 7 years of relevant legal experience.

• Broad generalist experience in corporate and commercial law.

• Significant experience in healthcare-related legal issues, such as Medicaid, Medicare, managed care, or health system/provider work.

• Familiarity with common law as well as state and federal laws pertinent to Company operations, including Medicare and Medicaid regulations.

• Ability to conduct legal research and interpret, analyze, and organize relevant facts, evidence, and precedents.

• Capability to present legal research and analysis in a clear and logical format.

• Proficiency in interpreting and drafting contracts and other legal instruments.

• Exceptional verbal and written communication abilities.

• Strong interpersonal skills and customer service orientation.

• Excellent organizational capabilities and meticulous attention to detail.

• Proven time management skills with the ability to meet deadlines effectively.

• Strong analytical and problem-solving aptitude.

• Ability to thrive in a fast-paced and occasionally stressful environment.

• Preferred working knowledge of M&A processes.

• Familiarity with contract management systems and compliance tools is preferred.

• A blend of experience in-house or with government and law firms is preferred.
