Assistant General Counsel – Finance & Strategic Transactions

This is a fully remote position, open to applicants in United States.

📋 Description

• Assist in the structuring, negotiation, and drafting processes for project finance facilities.

• Aid in securing financing for joint ventures.

• Work in collaboration with the Finance team on term sheets and credit agreements.

• Provide support for the formation and governance of joint ventures.

• Draft and negotiate agreements related to joint ventures and partnerships.

• Ensure adherence to OFAC, CFIUS, and FOCD regulations.

• Support strategic transactions and investments.

⛳️ Requirements

• Juris Doctor (J.D.) from an accredited law school and an active legal license in at least one U.S. jurisdiction.

• A minimum of 4 years of experience in project finance, corporate law, and/or transactional practice.

• Experience in project finance related to complex infrastructure or construction projects.

• Knowledge in the formation, governance, and financing structures of joint ventures.

• Exceptional drafting and negotiation abilities, coupled with a strong business sense.

• Capability to independently manage multiple assignments in a rapidly growing startup environment.

• Experience in the nuclear or energy sector is a plus.
