This is a fully remote position, open to applicants in United States.
• Act as the subject matter expert in federal procurement, encompassing the FAR, DFARS, and agency supplements; negotiate sole-source SBIR Phase III awards, contract modifications, option exercises, and orders through aggregator and reseller vehicles such as the GSA Multiple Award Schedule, NASA SEWP, and ITES-SW2; assist in proposal reviews, representations and certifications, and signature authority issues.
• Negotiate teaming, reseller, and distributor agreements with prime contractors and government channel partners, including the review and acceptance of flowdown clauses; safeguard SBIR data rights and deliverable markings under DFARS 252.227-7018; provide advice on procurement integrity, organizational conflicts of interest, gifts and gratuities regulations, mandatory disclosures, and supply chain obligations such as Section 889.
• Negotiate, draft, and oversee SaaS agreements, EULAs, MSAs, NDAs, DPAs, leases, and insurance across both federal and commercial revenue streams.
• Take ownership of the formulation and negotiation of agreements with vendors, suppliers, channel partners, and other third parties, including software licenses, professional services, and procurement terms.
• Ensure adherence to relevant laws and regulations, including data protection and privacy laws such as GDPR and US state privacy statutes, in addition to cybersecurity requirements.
• Oversee corporate governance, participate in board meetings, and ensure meticulous minute-keeping.
• Engage and manage external counsel for specialized issues such as funding rounds, debt transactions, and M&A, acting as the internal point of contact while overseeing scope, quality, and costs.
• Develop practical legal and risk management strategies that reduce risk and promote growth; translate legal obligations into actionable business solutions for non-legal stakeholders.
• Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.
• 7 to 10 years of legal practice experience, combining roles in both law firms and in-house settings, prepared to transition into a first VP of Legal role.
• Substantial experience with government contracts supporting software or technology sales to the Department of War and federal civilian agencies, with a robust understanding of the FAR and DFARS, whether gained in a law firm’s government contracts practice or in-house.
• Proficiency in flowdowns, government data rights, procurement integrity, and organizational conflicts of interest, with experience negotiating with prime contractors, resellers, and contracting officers.
• Extensive experience in SaaS and technology transactions, including negotiation, drafting, and interpretation of commercial agreements.
• Familiarity with privacy and data protection compliance, including GDPR and US state privacy laws.
• Proven ability to efficiently manage outside counsel on specialized transactional matters.
• Strong business acumen and a history of translating legal terminology into business impact within a fast-paced environment.
