VP Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Develop and execute a top-tier corporate governance framework to facilitate VAST's transition from a late-stage private company to a publicly-ready entity.

• Oversee legal workstreams that identify and mitigate risks while preparing for upcoming diligence events.

• Take charge of the Board of Directors and Committee processes: work in conjunction with the CLO and CEO on agendas, draft minutes, and coordinate board preparations.

• Serve as the primary legal counsel for all mergers and acquisitions, joint ventures, and strategic investments.

• Manage the entire deal lifecycle: from non-disclosure agreements and due diligence to negotiating definitive agreements and handling post-closing activities.

• Assist the CFO/CLO with capital market initiatives, including upcoming financing rounds, secondary offerings, and debt arrangements.

• Collaborate with Finance and Tax to spearhead VAST’s international growth, which encompasses entity formation, intercompany agreements, and compliance with local regulations across EMEA, APJ, and more.

• Supervise corporate governance and annual compliance for all global subsidiaries and affiliates.

• Act as a trusted advisor to the People (HR) team regarding executive compensation, global equity incentive plans (including tax considerations), and sensitive employment issues.

⛳️ Requirements

• J.D. with over 6 years of combined experience in a Tier 1 law firm (Capital Markets/M&A) and in-house at a rapidly growing, late-stage technology firm.

• Demonstrated experience in managing the transition from private to public; ideally, you have been involved "at the table" during an IPO or a significant multi-billion dollar exit.

• Extensive knowledge in corporate law, SEC reporting, and equity plan management.

• Experience in managing multinational corporate structures and understanding the "Permanent Establishment" risks associated with rapid international expansion.

• Outstanding capability to provide legal advice with a "business-first" approach.
