Vice President, Legal

This is a fully remote position, open to applicants in United States.

📋 Description

• Direct the legal strategy and implementation for intricate transactions, encompassing licensing, joint ventures, and strategic partnerships across therapeutics, diagnostics, agriculture, biocatalysis, and manufacturing.

• Act as a genuine thought collaborator with BD and executive leadership from the initial stages of deal structuring, rather than solely during the contract execution phase.

• Work in conjunction with R&D teams to thoroughly refine research plans and SOWs to guarantee that technical objectives are accurate, actionable, and in line with contractual terms.

• Draft, negotiate, and provide counsel on a variety of mid-to-complex agreements, including IP licenses, options, evaluations, MSAs, revenue sharing agreements, SRAs, and similar instruments.

• Create generalizable deal principles and strategies in collaboration with BD, R&D, and executive leadership, including partnering with alliance management throughout the contract lifecycle.

• Assess and communicate risks in ways that are actionable and evidence-based, translating legal considerations into business strategy rather than just legal analysis.

• Operate effectively in high-pressure, live negotiation environments, including multi-party sessions with sophisticated counterparties.

⛳️ Requirements

• Juris Doctor (JD) degree from an accredited institution.

• Scientific background: a degree in biology, chemistry, or a related discipline (minimum of a bachelor's degree; an advanced degree is preferred but not mandatory if scientific fluency is demonstrated).

• Extensive experience in life sciences transactions, with a proven track record in licensing, joint ventures, strategic collaborations, and similar complex structures.

• Experience at a reputable law firm (top 10 or equivalent) where you gained high-volume, diverse transactional experience across multiple clients and deal types.
