This is a fully remote position, open to applicants in Florida.
• Prepare, assess, and negotiate commercial agreements such as SaaS subscription contracts, master service agreements, order forms, statements of work, NDAs, data processing agreements, and amendments.
• Recognize legal and business risks, utilize negotiation playbooks, and independently address standard contractual issues.
• Collaborate with Sales, Revenue Operations, and Finance to facilitate enterprise and strategic customer transactions.
• Offer advice on subscription licensing structures, pricing conditions, renewal clauses, billing triggers, and contractual obligations to ensure timely deal execution.
• Assess contractual terms concerning data privacy, security requirements, service levels, indemnification, and liability.
• Ensure contracts are in line with company risk tolerance, healthcare customer expectations, and regulatory requirements.
• Maintain and enhance contract templates, clause libraries, and negotiation playbooks.
• Assist in contract lifecycle management (CLM) processes and pinpoint opportunities to enhance contracting efficiency and decrease sales cycle duration.
• Act as the primary legal representative for Sales and internal stakeholders.
• Collaborate with Security, Privacy, Compliance, Finance, and Customer Success to address contractual issues and align transaction terms with operational capabilities.
• Keep accurate contract records and documentation.
• Monitor contract metrics, negotiation trends, and turnaround times.
• Assist with audit and reporting requirements.
• Provide guidance to internal teams on contracting policies and procedures, and support training initiatives related to contract processes and risk standards.
• Bachelor's degree in Legal Studies, Business, or a related field, or Paralegal Certification required.
• 6–10+ years of experience in commercial contracting or as a paralegal.
• Experience in supporting SaaS or technology sales transactions.
• Proficient in reviewing and negotiating commercial agreements.
• Experience in supporting enterprise customer transactions.
• Familiarity with SaaS subscription models.
• Strong contract drafting and negotiation abilities.
• Understanding of commercial contract provisions (liability, indemnity, data protection, service levels).
• Excellent stakeholder management skills.
• Strong analytical and risk assessment skills.
• Exceptional written and verbal communication skills.
• Experience with contract lifecycle management tools.
• Background in healthcare technology or regulated industries is a plus.
• Experience with global contracting is preferred.
• Background in mid-size or public technology firms is preferred.
• Knowledge of data privacy frameworks (HIPAA, GDPR, etc.) is preferred.
• Experience with CLM platforms (Ironclad, Agiloft, Conga, etc.) is preferred.
