
Senior Legal Counsel

This is a fully remote position, open to applicants in California.
• Take charge of significant contracts: Draft, negotiate, and finalize commercial agreements with property owners, vendors, strategic partners, and technology providers.
• Support M&A execution: Assist in acquisitions throughout the entire deal lifecycle, including diligence, risk allocation, LOIs, purchase agreements, ancillary documents, closings, and post-close integration.
• Facilitate real estate acquisitions: Collaborate with leadership and third-party partners on direct real estate acquisitions — including entity structuring, purchase agreements, title and diligence review, zoning and land use analysis, and financing documentation.
• Manage multi-state compliance: Uphold and enhance our regulatory and permitting compliance framework across over 40 states.
• Safeguard our data practices: Oversee privacy policy, data governance, and compliance in relation to license plate recognition, camera systems, and driver data.
• Protect our intellectual property: Manage AirGarage's IP portfolio, which includes trademarks, patents, and trade secrets.
• Provide guidance on employment and personnel matters: Offer practical, business-focused counsel on employment law across various states.
• Coordinate with outside counsel: Support relationships with external firms for litigation, complex transactions, antitrust reviews, and specialized regulatory issues.
• Assist in fundraising and corporate governance: Collaborate on cap table issues, board governance, investor rights agreements, and data room preparation.
• Develop the legal operating system: Create and enhance legal intake processes, contract lifecycle management, policy documentation, and approval workflows.
• Act as a genuine business partner: Serve as a trusted advisor to the CEO and leadership team.
• Practical experience in a streamlined legal function: You have been the sole or primary legal professional at a high-growth company or part of a very small in-house team, personally drafting contracts, managing compliance, conducting diligence, and advising leadership (not delegating to associates).
• Equal parts strategist and executor: You are adept at switching between high-level strategy and detailed execution.
• Experience in transactions: You have significantly supported M&A deals, ideally with multiple acquisitions at a growth-stage company.
• Multi-state operational fluency: Experience advising a business that operates physical locations, assets, or services across various states.
• Expertise in commercial contracts: Strong understanding of MSAs, SOWs, licensing agreements, revenue-share structures, partnership agreements, and vendor contracts.
• Knowledge of data privacy: Familiarity with privacy regulations related to cameras, LPR/ALPR, and location data.
• Effective communicator: A clear communicator who can convey legal risks in business terms for executives and operators.
• Builder mentality: You have built (or have the capability to build) legal playbooks, templates, SOPs, and contract management systems from the ground up.
• Proactive approach: You act quickly, use sound judgment, and enhance the system with each cycle.
• Preferred qualifications: Background in real estate or proptech, prior experience at a company executing a roll-up or multi-unit acquisition strategy, and admission to the California bar.
