This is a fully remote position, open to applicants in Mexico.
• Evaluate, redline, provide comments on, and negotiate Master Service Agreements (MSAs), including templates provided by sponsors and modifications to existing MSAs.
• Analyze, draft, amend, and negotiate Confidentiality Disclosure Agreements (CDAs), revisions to MSAs, contract notifications, ad hoc agreements with sponsors, and other contract documents related to sponsors.
• Utilize internal contract guidance documents, playbooks, approved fallback positions, and Worldwide standard clauses when assessing and modifying sponsor templates and proposed contract language.
• Identify contract provisions that may pose legal, operational, financial, regulatory, or business risks; resolve routine issues independently; and escalate significant, non-standard, or higher-risk matters to Legal, Finance, Operations, Business Development, Therapeutic Leaders, senior management, and other relevant stakeholders as necessary.
• Compose and suggest alternative contract language that aligns with business objectives while safeguarding Worldwide’s legal and commercial interests.
• Assess the commercial and operational implications of contract terms, including their effects on revenue, payment conditions, scope, timelines, deliverables, and operational execution.
• Oversee assigned contracts from initiation through review, negotiation, internal approval, finalization, execution, and recordkeeping, prioritizing tasks based on urgency, revenue impact, sponsor requirements, and business objectives.
• Lead and engage in sponsor/client discussions to address contract terms, resolve outstanding issues, articulate Worldwide's positions, and coordinate next steps while professionally and constructively representing the company.
• Collaborate with and persuade internal stakeholders to ensure that contract terms accurately reflect the agreed-upon scope of work, budget, payment terms, operational commitments, and sponsor requirements.
• Work alongside Legal Counsel and internal approvers to obtain guidance, approvals, and consensus on non-standard or higher-risk contract language.
• Confirm that negotiated changes are accurately reflected in final agreements, amendments, exhibits, schedules, and associated contract materials, ensuring that final contract packages are complete, internally approved, and ready for execution.
• Keep precise records of contracts, status updates, and reporting in Salesforce, Worldwide’s finance system, contract trackers, and other relevant systems.
• Participate in internal project handover, escalation, and alignment meetings as required to support contract development, negotiation, and finalization.
• Suggest enhancements to templates, playbooks, workflows, escalation processes, and contracting standards to promote consistency, efficiency, and quality across sponsor contracts.
• A Bachelor's degree in business, legal studies, contracts management, healthcare administration, life sciences, or a similar field, or equivalent relevant experience is required; a JD is preferred but not mandatory.
• At least 5 years of experience in reviewing, redlining, negotiating, and managing commercial contracts, with a minimum of 3 years in CRO, clinical research, pharmaceuticals, biotechnology, healthcare, life sciences, or sponsor-facing contracting preferred.
• Proven experience in independently handling sponsor-facing contract matters, including MSAs, sponsor-provided templates, CDAs, MSA amendments, contract notifications, and other commercial agreements.
• Experience in applying contract guidance documents, playbooks, standard clauses, and approved fallback positions with sound judgment and proper escalation.
• Experience collaborating directly with internal stakeholders and sponsors to address contract issues, facilitate negotiations, and ensure the completion of contract matters.
• Familiarity with contract management systems, CRM platforms, Salesforce.com, Microsoft Word redlining, Excel trackers, and document management processes is preferred.
