πŸ“‹ Description

β€’ You will spearhead a diverse array of employee share scheme and equity incentive initiatives, assisting businesses with the design, execution, and ongoing management of their share plans.

β€’ Collaborating closely with founders, senior leadership teams, HR departments, and in-house counsel, you will provide clear and pragmatic advice that fosters business growth while ensuring the effective and compliant structuring of schemes.

β€’ Your responsibilities will likely encompass advising on topics such as: Enterprise Management Incentive (EMI) share option schemes, Company Share Option Plan (CSOP) and other HMRC-approved share plans, Unapproved share option schemes and growth share arrangements, designing and implementing equity incentive frameworks for start-ups and scale-ups, managing employee share schemes in relation to investment rounds and corporate transactions, drafting option agreements, plan rules, and associated documentation, advising on tax implications regarding share schemes (in collaboration with tax specialists as necessary), supporting founders and boards with equity structuring and incentive strategies, and addressing share scheme issues arising during corporate restructures, exits, and acquisitions.


⛳️ Requirements

β€’ A minimum of 8 years’ PQE with substantial experience in employee share schemes and equity incentives.

β€’ Proven experience in designing and implementing EMI schemes and other share option arrangements.

β€’ Experience in advising founder-led businesses, start-ups, and scale-ups is advantageous.

β€’ Capability to manage matters independently and provide pragmatic, commercially focused advice.

β€’ Strong drafting skills and meticulous attention to detail.

β€’ Excellent skills in client relationship and stakeholder management.

β€’ Confidence in collaborating with founders, leadership teams, and in-house legal departments.
