Senior Director, Corporate Counsel

This is a fully remote position, open to applicants in California.

📋 Description

• Develop the Corporate Engine & IPO Preparedness: Create and implement a top-tier corporate governance framework to transition VAST from a late-stage private entity to a public-market-ready organization.

• Oversee legal workstreams that identify and manage risks while preparing for future due diligence events.

• Take ownership of the Board of Directors and Committee processes: Work alongside the CLO and CEO on agendas, draft minutes, and manage board preparations.

• Serve as the principal legal advisor for all M&A, joint ventures, and strategic investments.

• Manage the complete deal lifecycle, from NDAs and due diligence to negotiation of definitive agreements and post-closing activities.

• Collaborate with Finance and Tax to spearhead VAST’s international growth, including entity formation, intercompany agreements, and compliance with local regulations across EMEA, APJ, and beyond.

• Act as a trusted advisor to the People (HR) team regarding executive compensation, global equity incentive plans (including tax implications), and sensitive employment issues.

• Establish and enhance "Legal Ops" processes, templates, and playbooks to promote efficiency.

⛳️ Requirements

• J.D. with over 6 years of combined experience at a Tier 1 law firm (Capital Markets/M&A) and in-house at a high-growth, late-stage technology company.

• Demonstrated experience in navigating the transition from private to public; ideally, you have been "at the table" for an IPO or a significant multi-billion dollar exit.

• In-depth knowledge of corporate law, SEC reporting, and equity plan management.

• Experience in managing multinational corporate structures and understanding the "Permanent Establishment" risks that come with rapid international scaling.

• Outstanding ability to provide "business-first" legal counsel.
