Senior Corporate Governance – M&A Paralegal

This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee corporate governance activities, which involve the preparation and upkeep of board and committee documentation, resolutions, consents, meeting agendas, minutes, and corporate records.

• Organize logistics for board meetings and ensure adherence to corporate governance standards and organizational policies.

• Assist in IPO readiness initiatives and preparations for public company governance, which includes corporate governance documentation, reviews of subsidiary structures, capitalization records, diligence support, coordination of SEC filings with external counsel, and the implementation of public company processes and controls.

• Administer both domestic and international legal entities, handling formations, dissolutions, annual filings, qualifications, changes in officers/directors, and the maintenance of corporate records and organizational charts.

• Ensure compliance with relevant corporate governance and regulatory standards.

• Contribute to mergers, acquisitions, financings, restructurings, and other strategic transactions by coordinating due diligence, managing documents, preparing for closings, collecting signatures, providing post-closing integration support, and maintaining transaction records.

• Collaborate closely with Executive Leadership, Finance, Tax, HR, Compliance, and external legal counsel to facilitate governance initiatives, strategic projects, and corporate transactions.

• Act as a primary legal operations contact for governance-related issues throughout the organization.

• Assist in the development and enhancement of governance processes, entity management systems, document repositories, and legal operations workflows.

• Identify and implement improvements for efficiency, standardization, and scalability across corporate legal functions.

⛳️ Requirements

• Bachelor's Degree in Legal Studies, Business, or a related field, or a Paralegal Certification.

• 6–10+ years of experience as a corporate paralegal or in corporate governance.

• Proven experience in supporting board and committee administration.

• Familiarity with entity management and corporate compliance filings.

• Experience working with both domestic and international subsidiaries.

• Strong corporate governance acumen and organizational skills.

• Experience in preparing board materials, resolutions, and minutes.

• Understanding of corporate structures and compliance obligations.

• Excellent project management and stakeholder coordination abilities.

• Proficient in analytical thinking and risk assessment.

• Strong written and verbal communication skills.
