This is a fully remote position, open to applicants in United States.
• Take the initiative in drafting and negotiating enterprise-level business development and commercial contracts at the highest tiers, which include SaaS subscriptions, API and data feed integrations, software development agreements, and content licenses, with a significant emphasis on privacy and intellectual property.
• Design and negotiate innovative AI licensing agreements, effectively managing the flow, security, and control of data into LLMs and RAG frameworks, while structuring complex deals that do not have predefined templates.
• Utilize extensive commercial acumen (including a solid understanding of revenue models, pricing strategies, and overall business objectives) to align legal solutions with Yelp’s wider business aspirations.
• Promote company goals by skillfully balancing speed with risk. You recognize that legal work is fundamentally about risk management rather than its complete elimination.
• Exhibit a robust, self-directed motivation to take ownership. When provided with a brief, three-sentence overview of a potential deal, you do not wait passively for additional details; instead, you proactively investigate the counterparty, foresee challenges, and take initiative to propel the project forward.
• Consistently display high accountability and prioritize the business's success. Rather than waiting for optimal conditions or for others to pave the way, you take proactive measures to navigate through challenges.
• Engage continuously with various departments to implement agreements and foster business development. You must collaborate effectively with Product, Finance, Security, and Engineering teams to gain a comprehensive understanding of our products and intelligently manage risk.
• Juris Doctor degree and active state bar membership in good standing.
• Over 8 years of experience as an attorney (In-house counsel experience is highly advantageous), with a proven history in handling complex technology transactions and business development at an advanced level.
• In-depth knowledge of SaaS contract law, intellectual property law, and a thorough understanding of privacy and regulatory frameworks, including TCPA, CCPA, CAN-SPAM, CIPA, HIPAA, and PCI.
• A solid, practical comprehension of network architecture, APIs, MCP servers, data feeds, applications, databases, clients, firewalls, and data wiping protocols—sufficient to translate how a deal functions technically into contract terms and risk positions actionable by our business teams and counterparties.
• A demonstrated history of actively negotiating complex agreements, rather than merely reviewing and redlining them. You must be capable of strategic thinking about concessions, developing creative fallback options, and independently resolving issues without needing to escalate to outside counsel.
• Strong work ethic paired with a collaborative mindset and experience successfully working cross-functionally with multiple teams of stakeholders.
• The ability to expertly balance speed with risk. You understand that hesitation or an overemphasis on perfection can jeopardize deals; therefore, you must recognize when 90% certainty is sufficient to advance the business safely.
• High accountability without the presence of ego. You genuinely care about not disappointing the team or Yelp’s user base of businesses and consumers, take pride in your contributions, and are willing to extend beyond your direct job description to enhance Yelp for everyone.
