Paralegal – Corporate

This is a fully remote position, open to applicants in Canada.

📋 Description

• Create and prepare corporate legal documents such as board and shareholder resolutions, minutes, powers of attorney, officer certificates, and corporate authorizations.

• Maintain and refresh minute books, corporate records, statutory registers, and organizational charts for both U.S. and international entities.

• Ensure that entity information is accurate and current within internal systems.

• Oversee annual filings, state registrations, incorporations, dissolutions, amendments, and other corporate modifications across various jurisdictions.

• Collaborate with corporate agents, law firms, and government registries to guarantee timely and compliant filings.

• Manage the execution, notarization, apostille, and legalization of documents as needed.

• Assist with corporate compliance initiatives, audits, due diligence, financing, and M&A-related activities.

• Organize signatures and streamline document circulation and approval processes.

• Support Legal Counsel with legal research, document organization, and the preparation of reports or internal summaries.

⛳️ Requirements

• Diploma/Certificate in Paralegal Studies or equivalent professional experience.

• A minimum of 2 years of experience in corporate law, legal operations, or in-house legal support.

• Strong understanding of corporate governance, entity maintenance, and multi-state filings.

• Exceptional drafting abilities, organizational skills, and a keen attention to detail.

• Proficiency in Microsoft Office and legal/document management software.

• Experience working with multinational organizations (e.g., Canada, Europe, Middle East, APAC).

• Background in technology, SaaS, or private-equity-backed firms.

• Bilingual (English/French) is considered an asset.
