This is a fully remote position, open to applicants in California.
• Provide guidance on corporate governance and securities issues, including assisting with the preparation of Board and committee meetings, corporate resolutions, and ensuring compliance with relevant corporate policies and bylaws.
• Advise the Total Rewards and Finance teams regarding employee equity issues, including the management of our equity compensation programs.
• Track and provide counsel on legal and regulatory developments in AI, such as the EU AI Act and emerging frameworks in U.S. states, as they pertain to Greenhouse's internal operations and, where applicable, our products.
• Develop and uphold a corporate compliance program, which includes crafting and updating policies, playbooks, and training resources that evolve with the business.
• Assist with M&A transactions, strategic partnerships, and other corporate development initiatives, encompassing due diligence, negotiation, and post-closing integration.
• Collaborate with colleagues from the Legal team and cross-functional partners on comprehensive corporate and compliance issues, independently managing complex workstreams with minimal oversight.
• Juris Doctor degree from an accredited U.S. law school and active membership in the bar.
• Over 6 years of relevant legal experience, ideally blending top-tier law firm practice with in-house experience at a high-growth technology, SaaS, or rapidly evolving company.
• Strong foundation as a corporate generalist, with extensive knowledge in corporate governance, securities law, and M&A transactions.
• Experience in advising on equity compensation programs and collaborating with HR or Total Rewards teams.
• Understanding of AI governance frameworks and the changing regulatory landscape surrounding AI.
• Proven ability to provide strategic, practical, and solution-oriented legal advice to stakeholders throughout the organization.
• Ability to work independently and take charge of complex issues confidently.
• Strong judgment in uncertain situations, intellectual curiosity, and the capability to quickly familiarize oneself with new areas of law.
• Exceptional written and verbal communication skills; highly organized and adept at managing multiple workstreams at once.
• Familiarity with AI tools such as Glean, Claude, Gemini, and AI GC.
