Senior Attorney, Corporate & Securities

This is a fully remote position, open to applicants in California, +8 more states.

📋 Description

• Delivering legal assistance across a diverse array of corporate, governance, and securities issues

• Ensuring compliance with securities laws (including Forms 10-K, 10-Q, 8-K, and conducting rules checks)

• Handling Section 16 filings (Forms 3 and 4)

• Maintaining compliance with public company reporting and disclosure requirements (including NYSE regulations and share ledger management)

• Managing treasury-related matters

• Overseeing subsidiary operations

• Assisting with various components of the Corporate Secretary’s responsibilities

• Supporting know-your-customer compliance initiatives

• Providing transactional support for capital markets transactions, mergers and acquisitions, and venture investments

⛳️ Requirements

• Over 2 years of experience in corporate transactional/securities law at a major law firm

• Bachelor’s Degree and Juris Doctorate (J.D.) from an accredited law institution

• Licensed to practice law in at least one U.S. state

• Excellent interpersonal skills and impressive academic achievements

• Proven team player eager to expand knowledge and experience through a variety of responsibilities

• Capable of thriving under pressure and managing multiple priorities effectively through strong adaptability, multitasking, and time management abilities

• High level of initiative and meticulous attention to detail.
