This is a fully remote position, open to applicants in United States.
• Lead Contract Review and Negotiations: Perform comprehensive evaluations of contracts, addenda, amendments, and other procurement documents to ensure they meet company standards, regulatory requirements, and business goals. Negotiate contract terms and conditions with suppliers, utilizing expertise in contract law and procurement regulations. Offer expert guidance to Sourcing teams in the creation of Master Service Agreements (MSA) and Statements of Work (SOW), ordering documents, and other contracts necessitating legal input or review, ensuring all documents are accurate, complete, and aligned with company objectives. Facilitate initial negotiations between GuideWell and suppliers regarding contract Terms & Conditions, ensuring the protection of company interests and that agreements are fair and reasonable. Draft, edit, and negotiate master service agreements.
• Foster Cross-Functional Collaboration: Act as the main liaison between Procurement and Legal teams, promoting open communication and ensuring smooth collaboration to achieve business outcomes. Provide guidance to Sourcing teams on contracting strategy, contract development, and negotiation.
• Risk Mitigation, Compliance & Risk Management: Identify and address potential legal or regulatory risks in procurement transactions, ensuring adherence to state and federal regulations. Stay updated on changes in procurement-related laws and regulatory environments, offering expert advice to internal stakeholders. Collaborate with both Legal and GuideWell’s Government & Legislative Affairs to gather legislative information impacting procurement processes and work with the appropriate procurement team to implement changes.
• Training: Create and deliver training programs for the procurement team concerning regulatory considerations, contract negotiations, and procurement policies.
• Dispute Resolution and Issue Management: Assist in resolving contractual disputes with vendors, working closely with internal stakeholders, legal teams, and suppliers to ensure prompt resolution.
• Key Performance Indicators: Track the timeliness and quality of contract reviews and analyses, the effectiveness of negotiation and optimization efforts, and compliance with company policies, procedures, and regulatory requirements.
• 6+ years of relevant work experience.
• Background in procurement, contract management, or a legal-related position.
• Proven experience in redlining contracts of moderate-to-high complexity related to (but not limited to): Technology related Professional Services, Business Process Outsourcing (BPO), Health Services.
• Bachelor’s degree or equivalent related work experience.
• Strong knowledge of procurement regulations, contract law, and negotiation principles.
• Exceptional analytical, negotiation, and communication skills.
• Capability to work efficiently in a fast-paced environment while managing multiple tasks and deadlines.
• Proficient in contract drafting and terminology, including an understanding of contract language nuances, risk-based language, contracting traps to avoid, document management and control, and legal acumen necessary for negotiating mid-complexity contracts.
• Excellent written and verbal communication skills with the ability to engage effectively within an organization and diverse audiences.
• Ability to thrive in a fast-paced environment, prioritizing multiple tasks and deadlines while maintaining strong interpersonal relationships across stakeholder groups.
• Proficient in contract management software, procurement tools, and office suite software (Outlook, Word, Excel).
