
Paralegal – Corporate Transactions

This is a fully remote position, open to applicants in Latin America.
• Overseeing corporate formations and regulatory filings in various U.S. jurisdictions
• Organizing and upkeeping virtual data rooms (including structure, naming conventions, and version management)
• Compiling closing binders and post-closing documentation
• Drafting and distributing signature packets while coordinating their execution
• Monitoring deal timelines, checklists, and outstanding items among multiple stakeholders
• Assisting with ancillary documents such as officer certificates, secretary certificates, and resolutions
• Providing support for legal research and general administrative tasks, including scheduling and following up with both internal and external contacts regarding pending tasks
• At least 2 years of experience in a legal environment (whether in a law firm or an in-house legal department)
• Prior exposure to corporate law, transactional work, or mergers and acquisitions is highly preferred
• Proficient written and verbal English skills (near-native proficiency expected in a professional context)
• Capability to draft professional correspondence and review documents independently without language supervision
• Highly organized with exceptional attention to detail and follow-through
• Comfortable managing multiple matters simultaneously
• Fully remote position for candidates located in Latin America
