This is a fully remote position, open to applicants in United States.
• Assist in the drafting, reviewing, redlining, and managing the lifecycle of contracts, which includes monitoring deadlines, obligations, and approvals.
• Support the creation of corporate governance documents, such as board consents, resolutions, subsidiary records, and regulatory filings.
• Facilitate the execution of government and commercial agreements while maintaining organized documentation repositories.
• Perform legal and factual research concerning government procurement requirements, FAR/DFARS citations, regulatory updates, and compliance responsibilities.
• Organize and prepare materials for audits, government inquiries, and compliance assessments, including CUI, cybersecurity, and export control issues.
• Assist in the development and implementation of internal processes, templates, and policy frameworks.
• Provide support to the General Counsel in due diligence, financing activities, and documentation related to the board.
• Collaborate with external counsel across litigation, intellectual property, corporate, and regulatory matters.
• Aid in the preparation of presentations, reports, and summaries for executive leadership.
• 8–10+ years of experience as a paralegal in a law firm, corporate legal department, or governmental environment.
• Possession of an active paralegal certification or degree, such as an ABA-approved paralegal certificate, associate’s or bachelor’s degree in paralegal studies, or its equivalent.
• Proven experience in supporting legal activities within a defense, aerospace, government, or government-related context.
• Strong knowledge of government contracting procedures, FAR/DFARS, procurement processes, and compliance requirements.
• Exceptional organizational skills with the capability to handle multiple competing priorities.
• Keen attention to detail, sound judgment, and proficient writing and communication abilities.
• Experience working with senior executives, technical teams, and external legal counsel.
• Ability to excel in a fast-paced environment and work independently.
• Must comply with ITAR regulations: be a U.S. citizen, a lawful permanent resident of the U.S., a protected individual as defined by 8 U.S.C. 1324b(a)(3), or eligible to secure required U.S. Department of State approvals.
• Familiarity with CUI management, cybersecurity frameworks, and export control regulations.
• Background in working with aerospace or defense contractors, federal programs, or regulated technology firms.
• Experience in supporting financing transactions, intellectual property issues, or litigation.
• Proficient with document management systems, contract lifecycle management (CLM) tools, and collaboration platforms.
