This is a fully remote position, open to applicants in United States.
• Assist in the preparation and submission of periodic and current reports, such as Forms 10-K, 10-Q, and 8-K.
• Manage filing logistics in collaboration with internal teams, external counsel, auditors, investor relations, and financial printers or filing agents.
• Provide support for EDGAR submissions, exhibit management, and the assembly of filing packages.
• Aid in Section 16 filings, including Forms 3, 4, and 5, while maintaining the Section 16 insider list.
• Oversee the insider trading policy, manage trading windows, track blackout periods, and support Rule 10b5-1 plans.
• Prepare and manage D&O questionnaires and keep related records for directors and officers.
• Assist with the annual proxy statement, logistics for annual meetings, and activities related to public companies.
• Support stock administration and equity-related matters, including cap table management, equity grant records, and beneficial ownership data.
• Facilitate Nasdaq listing compliance, notifications, and associated submissions.
• Prepare materials for the Board and committees, manage logistics, and coordinate scheduling.
• Administer access to board portals and related materials.
• Draft and maintain minutes, resolutions, action items, and follow-ups.
• Keep minute books, resolutions, and governance records for both domestic and international entities.
• Assist with state and subsidiary filings, annual reports, maintenance of good standing, and coordination with registered agents.
• Support litigation matters by organizing documents, tracking progress, and coordinating with outside counsel.
• Track and manage insurance claims along with the necessary documentation.
• Prepare responses for subpoenas and legal processes, coordinating the collection and production of required materials.
• Utilize AI tools and legal technology to enhance efficiency in filing preparation, records management, and recurring workflows.
• Collaborate with attorneys, Legal Operations, Finance, and other teams to ensure timely progress and adherence to deadlines.
• Undertake additional responsibilities as needed.
• Highly organized and detail-oriented, demonstrating a proven ability to manage deadline-driven filing and governance schedules.
• Experience as a corporate or public-company paralegal, preferably with a focus on supporting SEC filings, Section 16, board preparation, and entity management.
• Strong judgment and discretion when handling confidential and material non-public information.
• Experience providing support to a Corporate Secretary, Board of Directors, and senior executives with sensitive, market-sensitive materials.
• Proactive, reliable, and solutions-focused, exhibiting a strong sense of ownership and accountability.
• Comfortable with AI tools and legal technology, or keen to adopt them in a legal support context.
• Excellent communicator with the ability to collaborate effectively with attorneys, executives, and cross-functional teams.
• Minimum educational requirement: Bachelor’s degree or equivalent combination of education, training, and/or experience.
• Paralegal certificate from an ABA-approved program is preferred.
• At least 8 years of corporate or public-company paralegal experience, ideally encompassing both law firm and in-house experience.
• Working knowledge of SEC reporting requirements, Section 16, Nasdaq listing standards, and public-company governance practices.
• Familiarity with public-company filing tools and processes (e.g., EDGAR, XBRL, Section 16 filing agents), board portals (e.g., Diligent or Boardvantage), and entity management software.
• Experience in supporting stock administration and equity plan records is advantageous.
• Knowledge of litigation, insurance claims, or subpoena and legal process support is a plus.
• Comfort with AI tools to enhance efficiency, or a genuine willingness to learn and become proficient in them.
• Experience in a public technology or SaaS company is a plus.
