This is a fully remote position, open to applicants in United States.
• Analyze private fund sales reports and employee stock option plans, identify relevant exemptions, and prepare Blue Sky charts along with Blue Sky notice filings.
• Create Blue Sky charts detailing exemptions and the requirements for initial and renewal filings.
• Generate Blue Sky notice filings for all 50 states, ensuring compliance with California and New York regulations through the EFD filing system.
• Calculate associated fees and prepare both electronic and paper Blue Sky notice filings for Regulation A Tier 2 offerings.
• Oversee and manage Blue Sky filings, including Form D, Rule 506 exemptions, Reg D, and Reg A compliance.
• Conduct thorough state-level Blue Sky research and assist with filings across various jurisdictions.
• Stay informed on Blue Sky laws, SEC EDGAR filing requirements, and NASAA EFD processes.
• Track deadlines, renewals, and state-specific compliance obligations diligently.
• Organize and maintain offering documentation, such as PPMs, subscription agreements, and investor information.
• Ensure that filings, procedures, and communications adhere to both company and client compliance standards.
• Safeguard client confidentiality while adhering to firm-approved operational policies.
• Collaborate with team members and client stakeholders to ensure timely completion of filings and projects.
• Perform additional related tasks as assigned.
• Specialized expertise in Blue Sky and securities law, particularly regarding private funds and Reg D filings.
• Knowledge of state securities regulators, EDGAR, and NASAA EFD systems.
• Proven success in a law firm or compliance-oriented environment.
• Preferred experience with multiple case management or compliance platforms.
• Demonstrated ability to delegate tasks and supervise assigned work effectively.
• Strong organizational and project management capabilities, with the ability to manage several workflows concurrently.
• Excellent attention to detail and a proactive approach to problem-solving.
• Strong skills in client communication and customer service through phone, email, and written correspondence.
• Comfort with researching state-specific rules, exemptions, and filing procedures.
• Proficient in Microsoft Office Suite, Adobe Acrobat Pro, and case management software.
• Experience with compliance tracking platforms, fund administration tools, or similar systems.
• Ability to work both independently and collaboratively with attorneys, clients, and team members.
