This is a fully remote position, open to applicants in United States.
• Provide legal assistance to the General Counsel, Deputy General Counsel, and attorneys within the Legal Department in support of the Board of Directors, executive leadership, management, and business stakeholders.
• Prepare, file, and maintain documents related to corporate governance, entity records, organizational charts, annual reports, and other associated records.
• Oversee the formation, dissolution, foreign qualifications, amendments, mergers, acquisitions, and various other corporate transactions.
• Assist with due diligence, document gathering, and regulatory submissions for corporate transactions and reorganizations.
• Keep calendars and tracking systems updated for corporate filings, registrations, annual reports, and governance necessities.
• Draft, review, revise, and manage commercial contracts and legal documents.
• Oversee the contract lifecycle processes, which include intake, routing, execution, storage, renewal tracking, and reporting.
• Aid in the implementation and administration of contract lifecycle management systems and legal technologies.
• Provide regulatory assistance for Medicare Advantage plans and related healthcare organizations.
• Support health plan licensure, CMS audits, examinations by state insurance departments, regulatory investigations, submissions, notifications, and attestations.
• Track federal and state legislative and regulatory changes that impact healthcare operations.
• Prepare summaries, analyses, and tracking reports concerning healthcare laws, regulations, guidance, enforcement actions, and industry trends.
• Assist with regulatory inquiries, corrective action plans, government requests, and compliance projects.
• Support the drafting, organization, and management of provider agreements, delegated entity contracts, administrative services, pharmacy-related agreements, and vendor contracts.
• Assist with litigation, arbitration, mediation, subpoenas, claims, grievances, investigations, and responses to complaints.
• Coordinate document preservation, collection, production, litigation holds, and activities involving outside counsel.
• Assist with matters related to privacy and data security, HIPAA compliance, incident investigations, documentation, and regulatory reporting.
• Manage legal intake and matter management systems, departmental records, filing systems, templates, and knowledge resources.
• Generate reports, dashboards, and metrics regarding contracts, regulatory issues, litigation, and legal activities.
• Identify opportunities for process improvement and lead initiatives aimed at enhancing the efficiency of the Legal Department.
• Assist with special projects and strategic initiatives as directed by Legal Department leadership.
• Associate's Degree or Bachelor's Degree is required.
• Five (5) to ten (10) years of experience as a paralegal in a corporate legal department or law firm.
• Strong understanding of corporate governance and corporate entity management.
• Knowledge of healthcare regulatory requirements, including Medicare Advantage, Medicaid, CMS regulations, state insurance regulations, and healthcare compliance concepts.
• Excellent organizational and project management abilities.
• Exceptional attention to detail and precision.
• Strong skills in legal drafting, writing, and analysis.
• Excellent verbal and written communication capabilities.
• Familiarity with contract lifecycle management systems, legal operations tools, and document management systems.
• Ability to make sound judgments and maintain confidentiality.
• Advanced proficiency in Microsoft Office applications, including Word, Excel, PowerPoint, and Outlook.
• Capability to work independently with minimal supervision while effectively collaborating with attorneys, executives, and business stakeholders.
• Proactive, highly organized, and comfortable in a fast-paced environment while managing multiple priorities.
• Experience in healthcare, health plans, managed care, insurance, Medicare Advantage, Medicaid, or other government-sponsored health plans is strongly preferred.
• Experience supporting attorneys with corporate governance, healthcare regulatory compliance, entity management, and healthcare contracting matters is preferred.
• Familiarity with corporate governance activities, including board and committee meetings, meeting minutes, resolutions, annual filings, and corporate records.
• Proven experience reviewing, tracking, and managing contracts through all stages of the contract lifecycle.
• Experience interacting with state insurance departments, dealing with CMS-related matters, health plan licensure, regulatory filings, audits, examinations, or other health plan regulatory activities is highly desirable.
• Experience supporting legal entity management across multiple states is preferred.
• Certified Paralegal (CP), Registered Paralegal (RP), or equivalent certification is preferred.
