Paralegal

This is a fully remote position, open to applicants in Germany.

📋 Description

• Draft, evaluate, and oversee corporate documents including shareholder agreements, board resolutions, NDAs, MOUs, term sheets, and governance instruments for DeSci initiatives.

• Create transactional documents for fundraising rounds, token sales, SAFTs, IP licensing agreements, and IP-NFT frameworks.

• Assist with IP portfolio management: coordinate patent prosecution, manage trademark filings, handle IP assignment agreements, and facilitate research collaboration agreements across US, EU, and international jurisdictions.

• Provide support in litigation and dispute resolution by preparing pleadings, discovery materials, deposition summaries, privilege logs, and case chronologies in collaboration with external counsel.

• Operate and conduct quality reviews of AI legal tools integrated into Molecule's workflows, including LLM-driven drafting, summarization, research, and compliance screening.

• Develop structured HITL review protocols to ensure that AI-generated outputs meet first-tier quality standards before being presented to the CLO.

• Create and maintain prompt libraries, workflow templates, and SOPs for AI-assisted legal tasks.

• Keep abreast of regulatory changes across SEC, FINMA, MiCA, and Canadian securities regulators that impact DeSci, IP tokenization, and digital assets.

• Assist with KYC/AML documentation, GDPR and data protection compliance, and regulatory filings.

⛳️ Requirements

• AI-native. You possess practical, hands-on experience using LLMs for legal drafting, research, or document analysis, and you have built or managed HITL review workflows, not just learned about them.

• Paralegal-credentialed. You hold a diploma, certificate, or degree from an accredited institution and have 3+ years of experience in corporate, transactional, or litigation matters at a law firm or in-house.

• Jurisdictionally versatile. You are comfortable working within the US, Canadian, Swiss, and EU legal systems—or you are eager to become proficient quickly.

• Organized under pressure. You effectively manage multiple concurrent matters, deadlines, and stakeholders in a distributed startup environment without losing track of important details.

• Independent and high-ownership. You proactively take initiative and manage tasks end-to-end, escalating issues when necessary.

• Curious about the mission. The convergence of biotech, blockchain, and AI within a single company excites you, or you wouldn't be considering this opportunity.
