This is a fully remote position, open to applicants in Seychelles.
• Actively participating in Board meetings and contributing to discussions.
• Offering independent judgment and constructive feedback regarding the Company’s strategy, governance, business model, and risk appetite.
• Reviewing and scrutinizing management reports, compliance reports, AML/CFT reports, audit findings, risk assessments, and regulatory updates.
• Assisting the Board in ensuring adherence to applicable Seychelles financial services legislation, AML/CFT requirements, FSA codes, guidelines, directives, and license conditions.
• Supervising critical risk areas, including client onboarding, client classification, complaints management, outsourcing, conflicts of interest, safeguarding of client assets, and business conduct.
• Aiding Board oversight of the Company’s authorized securities dealing activities, including stocks, ETFs, and contracts for difference.
• Ensuring that decisions made by the Board are thoroughly considered, documented, and followed up appropriately.
• Disclosing any actual or potential conflicts of interest while acting independently in the best interests of the Company.
• Minimum of 4 years’ experience in a directorship, senior management, or equivalent governance role.
• Relevant academic and/or professional qualifications in finance, law, accounting, compliance, risk management, corporate governance, business administration, or a related field.
• Knowledge or experience in regulated financial services, securities dealing, brokerage, investment services, or capital markets.
• Understanding of directors’ responsibilities, corporate governance, regulatory compliance, AML/CFT obligations, and risk management.
• Ability to read, comprehend, and critically assess Board papers, compliance reports, audit reports, risk assessments, and financial data.
• Adequate independence, availability, and commitment to effectively fulfill the role.
• Fit and Proper Requirements: The selected candidate must meet the applicable fit-and-proper standards for a director of a Seychelles regulated Securities Dealer, which include:
