This is a fully remote position, open to applicants in United States.
• Provide counsel to clean energy firms, project developers, investors, private equity funds, and various other clients on intricate corporate and transactional issues.
• Assist clients throughout their business journey.
• Take the lead in and support reorganizations, restructurings, and other strategic corporate transactions.
• Structure and negotiate equity financing, private equity investments, and other capital-raising initiatives.
• Structure and negotiate joint ventures, strategic partnerships, and various commercial agreements.
• Offer guidance on corporate governance, entity formation, capitalization, shareholder and partnership issues, and associated corporate matters.
• Identify legal and business risks while formulating practical and innovative solutions to further clients’ goals.
• Oversee and mentor junior attorneys and other team members involved in deals.
• Contribute to the growth of Clean Energy Counsel’s corporate practice, client relationships, and new business initiatives.
• Stay informed on legal, regulatory, and market trends affecting corporate transactions and the clean energy sector.
• Comply with firm policies, practices, and priorities.
• Undertake additional responsibilities as directed by firm management.
• Over 5 years of experience in a law firm setting.
• Experience serving clients within the renewable energy and related sectors.
• Proven track record of leading or significantly contributing to complex financing, joint ventures, private equity, or other strategic transactions.
• Exceptional drafting, negotiation, analytical, and client management abilities.
• Capability to act as the senior, lead attorney on intricate financing transactions with minimal oversight.
• Strong organizational, communication, planning, and project management skills.
• Ability to manage multiple complex issues simultaneously under tight deadlines and pressure.
• Proficiency in collaborating effectively in a remote work environment.
• Admission to and good standing with the Bar of the applicant’s state of residence.
• Commitment to the firm’s mission.
• Requirement of 1,200 annual billable hours, with bonuses for exceeding this threshold.
