• **About the Role**
• We are seeking a Manager of Corporate Development to function at the convergence of M&A execution and fundamental operating finance. The ideal candidate will take ownership of transaction modeling and due diligence during active deals and seamlessly transition into ongoing FP&A, reporting, and strategic analysis during non-deal periods – being equally adept at constructing an LBO, conducting M&A due diligence, and assisting with the monthly reporting package. You will implement transaction-grade precision in both acquisitions and the strategies that foster organic growth. Direct experience in a B2B SaaS or recurring-revenue business is crucial.
• Key Responsibilities
• - Dual mandate – Transition smoothly between deal execution and ongoing operating-finance tasks, supporting both M&A workstreams and essential FP&A outputs as priorities evolve throughout the year.
• - Transaction & capital structure modeling – Develop and manage valuation models, create pro forma combined-entity P&L, balance sheets, and cash flow projections with QoE bridging; and model financing scenarios across various deal situations.
• - Financial diligence – Oversee diligence workstreams; adjust EBITDA, differentiate between one-time and recurring items, evaluate working capital, confirm management adjustments, and consolidate findings into actionable insights.
• - Post-transaction value capture – Monitor integration performance against the plan, collaborating with the FP&A team to track and report results.
• - Lender & stakeholder reporting – Prepare and present monthly and quarterly reports to lenders, including financial statements, covenant compliance calculations, and supporting documents.
• - Monthly reporting & cash forecasting – Assist in the creation of the monthly financial reporting package.
• - Planning & capital allocation – Collaborate with the Senior Manager of FP&A and leadership on long-term planning, capital allocation, and assessment of organic growth investments, applying the same return-focused rigor to internal initiatives as used in transactions.
• Required Qualifications
• - 4–7 years of experience in private equity, investment banking, transaction services, or corporate development within a PE-backed company.
• - Proven experience with complex transaction modeling and financial diligence.
• - Advanced Excel modeling skills: three-statement, LBO, accretion/dilution, sources & uses.
• - Direct experience in a B2B SaaS or recurring-revenue business, with a strong understanding of its growth drivers and unit economics.
• - Proficient in managing recurring operating-finance tasks — monthly reporting, cash forecasting, and lender/covenant reporting — beyond just live deal work.
• - Thrives in a role with fluctuating intensity; motivated by comprehensive analytical and operating-finance tasks between deals, not solely by live transactions.
• - Self-motivated with a natural curiosity to identify improvement opportunities and the initiative to implement them.
• - Strong understanding of GAAP, adjusted EBITDA methodology, and quality-of-earnings principles.
• - Excellent written communication skills; capable of translating analysis into materials suitable for executive review.
• - Willingness to work overlapping US Eastern hours during active transaction periods.
• Preferred Qualifications
• - Previous experience supporting US-based sponsors or sponsor-backed firms.
• - Familiarity with lender and covenant reporting in a leveraged or sponsor-backed context.
• - CFA designation.
