This is a fully remote position, open to applicants in Germany.
• Proactively identify and evaluate M&A targets that align with IONITY’s strategic growth objectives, including acquisitions of charging networks, technology integrations, and other related industries across Europe.
• Develop and sustain a well-organized pipeline of opportunities; create and present investment theses and preliminary assessments to senior leadership.
• Monitor the competitive landscape and market trends to pinpoint inorganic opportunities prior to their market entry.
• Oversee and manage all work-streams of active transactions: financial modeling and valuation, due diligence coordination, SPA negotiation, and shareholder approval processes.
• Construct comprehensive business cases and financial models, encompassing DCF valuations, scenario analyses, earn-out mechanics, and IRR/return analysis for investment committee, bank, and shareholder approval.
• Coordinate with external advisors (legal, financial, technical, tax, etc.) and supervise data room processes, due diligence findings, and issue resolution.
• Prepare and present transaction documentation, including investment memoranda, Q&A materials, and communication updates.
• Serve as the primary internal coordinator across Finance, Legal, Operations, and People & Culture for all transaction-related work-streams.
• Manage communication with shareholders and lenders, as well as financing processes related to acquisitions, including consent procedures, covenant negotiations, and drawdown coordination.
• Assist in integration planning and transition to operational teams post-closing, tracking key milestones, earn-out conditions, and post-merger value capture.
• Maintain a repository of M&A knowledge, lessons learned, and transaction documentation for institutional memory and future reference.
• Over 7 years of relevant experience in M&A, investment banking, private equity, corporate development, or strategy consulting, with direct experience in transaction execution.
• Proficient in financial modeling: adept at constructing DCF models, LBO/return analyses, earn-out structures, and scenario analyses from the ground up.
• Practical experience in managing due diligence processes, coordinating multi-disciplinary workstreams, and collaborating with external legal and financial advisors.
• Familiarity with or strong interest in the energy, mobility, infrastructure, or technology sectors.
• Exceptional communicator with the capability to create clear and concise investment materials for senior executives and shareholders.
• Highly organized self-starter able to juggle multiple workstreams simultaneously in a fast-paced, deadline-driven environment.
• Collaborative team player with strong interpersonal skills; comfortable working across various functions, seniority levels, and cultural backgrounds.
• Fluent in English; proficiency in German is a plus.
