This is a fully remote position, open to applicants in Canada.
β’ Assist with daily commercial contracts, corporate governance, M&A integration, and legal risk management across Embrace and its subsidiaries.
β’ Deliver practical legal assistance for commercial contracts and business issues across various subsidiaries.
β’ Aid business teams in identifying and managing legal, operational, financial, and compliance risks.
β’ Collaborate with external counsel on specialized matters, including employment, intellectual property, privacy, litigation, and complex M&A topics.
β’ Review, draft, and negotiate agreements related to SaaS, software licensing, professional services, NDAs, reseller/channel arrangements, vendor contracts, amendments, and renewals.
β’ Provide guidance to business, finance, sales, procurement, and operations teams regarding contract positions and practical fallback language.
β’ Maintain and enhance standard contract templates, clause language, approval protocols, and contract review playbooks.
β’ Support corporate governance and entity management for Embrace and its subsidiaries.
β’ Prepare and maintain resolutions, consents, officer/director records, organizational documents, and corporate filings.
β’ Assist with acquisitions and strategic transactions through legal due diligence, document analysis, contract summaries, and issue tracking.
β’ Work alongside finance, operations, HR, executive leadership, and outside counsel during diligence and integration processes.
β’ Licensed lawyer in good standing in a Canadian province.
β’ Approximately 3β5 years of relevant legal experience.
β’ Background in reviewing, drafting, and negotiating commercial contracts.
β’ Strong comprehension of SaaS, software, technology, or commercial services agreements.
β’ Practical business acumen with the ability to balance legal risk against commercial priorities.
β’ Excellent written and verbal communication skills, with the capability to articulate legal risks in straightforward terms.
β’ Highly organized and adept at managing multiple matters across different subsidiaries.
β’ Ability to work autonomously in a remote-first, dynamic environment.
β’ Comfortable coordinating with outside counsel and cross-functional business teams.
β’ Familiarity with AI-enabled tools, or a proven willingness to leverage AI for enhancing contract review, document management, and workflow efficiency.
