Legal Counsel

This is a fully remote position, open to applicants in Ukraine.

📋 Description

• Preparation and legal analysis of corporate documents (including decisions from management bodies, powers of attorney, internal policies, and procedures) and support for their approval and ratification.

• Preparation, submission, and acquisition of documents for the state registration of the creation and termination of legal entities, obtaining permits and certificates, as well as submitting mandatory reports in accordance with legal requirements.

• Management of matters related to trademarks, including their registration, maintenance of validity, and legal protection.

• Drafting, legal expertise, and participation in negotiations concerning financial contracts and tender documentation.

• Development, implementation, and monitoring of compliance programs within the environmental and social management system (ESM), as well as adherence to the ISO 14001 standard requirements.

• Conducting internal audits, risk assessments, and training for employees on compliance issues.

• Ensuring compliance with banking regulations, including KYC (Know Your Customer) and AML (Anti-Money Laundering) procedures.

• Providing legal advice on corporate law and regulatory requirements.

• Interaction with government regulators, external legal advisors, auditors, and certification bodies.

• Monitoring changes in legislation, regulatory acts, and standards affecting the company’s operations.

• Maintaining corporate, contractual, and compliance documentation ensuring timely and proper execution.

⛳️ Requirements

• Full higher legal education (Master's degree in law).

• 2+ years of relevant experience as a lawyer in a law firm or as an in-house lawyer, preferably in the IT industry.

• Understanding of the principles of document registration system (document circulation).

• Experience with standard contract forms (templates).

• Knowledge of the specifics of contractual arrangements for the sale of the company's core products.

• Curiosity, persistence, attention to detail.

• Result-oriented, high level of responsibility, ability to act independently and take ownership of the final result.

• Developed communication skills.

• Proficiency in English at Upper-Intermediate/Fluent level.

• Fluent in Ukrainian (for drafting legal documents).
