Legal Counsel

This is a fully remote position, open to applicants in Florida.

📋 Description

• Prepare, assess, and negotiate a substantial number of commercial contracts, including agreements with customers, suppliers, vendors, and confidentiality agreements.

• Act as the primary legal advisor for sales, operations, and finance teams.

• Provide practical legal solutions aligned with business schedules.

• Address the legal and contractual components of customer RFPs and questionnaires.

• Maintain and enhance contract templates, ad-hoc forms, and standard terms.

• Perform legal research, particularly in intellectual property issues.

• Assist with compliance efforts.

• Implement U.S. and international laws in business practices, including issues related to Canada, China, India, and Brazil.

• Oversee relationships with external legal counsel on assigned projects.

• Facilitate acquisition and integration processes.

• Help spearhead the evaluation and implementation of contract management technology.

• Review and improve company policies.

• Provide internal legal training.

• Primarily support BAMKO, with additional support for SGC corporate.

• Collaborate with teams ranging from sales personnel to senior management.

⛳️ Requirements

• Juris Doctor (J.D.) from an ABA-accredited law institution.

• Valid license to practice law in good standing in your home state.

• Over 3 years of legal experience with a significant emphasis on commercial contracting.

• In-house experience is highly preferred.

• Exceptional skills in contract drafting and negotiation.

• Familiarity with, or a desire to learn about, employment, compliance, and corporate governance issues.

• Ability to exercise sound judgment and discretion with confidential matters.

• Capability to work collaboratively across different time zones.

• Availability during Pacific-time business hours is advantageous.

• Experience in apparel, promotional products, manufacturing, distribution, or healthcare is a plus.

• Familiarity with contract lifecycle management and document management systems like Agiloft or NetDocuments is a plus.
