Legal Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Act as a strategic legal advisor on commercial, regulatory, and operational issues.

• Serve as a liaison to external counsel to address relevant matters.

• Collaborate with external regulatory counsel to navigate changing regulatory landscapes and assist with the company’s compliance responsibilities.

• Draft, review, negotiate, and interpret commercial agreements, including enterprise customer contracts, banking and fintech services agreements, technology partnerships, and data licensing agreements.

• Work closely with Sales and Go-to-Market teams to enhance deal velocity and provide pragmatic legal guidance while supporting strategic initiatives such as partnerships, corporate development opportunities, and new product launches.

• Offer practical legal guidance across various domains, including commercial transactions, regulatory issues, product development, privacy, employment, and corporate governance.

• Establish and maintain our commercial legal framework, which includes contract templates, playbooks, process enhancements, and legal workflows.

• Assist with board and investor governance matters, including the preparation of board materials and minutes.

• Recognize and appropriately escalate legal risks while fostering business growth.

• Keep up-to-date with legal developments related to AI technologies.

⛳️ Requirements

• J.D. from an accredited law school and active membership in good standing with a U.S. state bar.

• A minimum of 3-5 years of legal experience, ideally a mix of top-tier law firm and in-house experience, with exposure to commercial contracts, SaaS agreements, or technology transactions.

• Strong interpersonal skills, with a desire and ability to cultivate productive and collaborative working relationships with various stakeholders across LeafLink.

• Significant experience in drafting and negotiating complex commercial agreements.

• Exceptional written and oral communication skills, with the ability to communicate effectively with both legal and non-legal audiences at all organizational levels.

• Experience advising companies in regulated sectors such as fintech, payments, SaaS, or technology businesses is preferred.

• Proficient at understanding intricate topics and finding streamlined solutions to complex issues that address appropriate risk levels.

• Membership in the New York or California Bar.
