This is a fully remote position, open to applicants in California, +1 more state.

📋 Description

• Prepare, analyze, and negotiate a variety of commercial agreements, such as NDAs, MOUs, enterprise SaaS contracts, distribution and partnership agreements, EULAs, BAAs, customer and sales contracts, and government tender documents.

• Assist in negotiations on both customer and vendor sides, ensuring that contractual terms align with regulatory standards.

• Offer practical, business-focused legal and compliance guidance to internal teams, particularly the commercial and sales departments.

• Contribute to the development, enhancement, and scaling of contract management systems (Lawvu), processes, approval workflows, and the creation and modification of contract templates.

• Provide legal and compliance assistance across various jurisdictions, including the US, Canada, EU/UK, and Australia.

• Counsel on corporate governance and compliance issues, supporting the General Counsel and Company Secretary with governance procedures for USA entities.

• Work flexibly across time zones to support a global, regulated organization.

• Act as a daily compliance partner for the business, identifying, evaluating, and mitigating legal and regulatory risks associated with the company’s products and operations.

• Advise on US healthcare and medical-device regulatory frameworks pertinent to healthcare SaaS / SaMD and teleradiology (e.g., HIPAA, FDA, FTC, Stark Law, Anti-Kickback Statute, fraud-and-abuse regulations, corporate practice of medicine), while keeping track of regulatory changes that impact the business.

• Develop, implement, and maintain compliance policies, procedures, controls, and training, integrating compliance-by-design into product, commercial, and operational workflows.

• Assist with compliance monitoring, audits, due diligence, and risk assessments, while managing regulatory inquiries, investigations, and remediation efforts.

• Collaborate with privacy and security experts on HIPAA, GDPR, CCPA, and other region-specific regulations, providing advice on the lawful management of health and personal data.

• Draft and negotiate BAAs, data processing agreements, and related terms, while helping to uphold the company’s privacy compliance standards.


⛳️ Requirements

• US-qualified attorney with 3–6 years of post-qualification experience (PQE).

• Licensed to practice in New York and/or California (preferred but not mandatory).

• In-house legal experience in technology, SaaS, or healthcare sectors.

• Familiarity with HIPAA and US regulatory frameworks related to healthcare.

• Strong background in commercial contracting within SaaS and technology transactions or teleradiology services.

• Prior experience at a prestigious or international law firm (highly regarded).
