This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee corporate governance support for Upstart Bank, which includes preparing board and committee meeting materials, agendas, pre-read documents, minutes, resolutions, policies, and committee charters.

• Provide counsel to bank directors, executives, and internal stakeholders on governance responsibilities, bank structure, director obligations, and corporate governance standards relevant to an OCC-chartered national bank, including the management of conflicts between the bank and its affiliates, as well as issues related to dual-hatted employees.

• Offer guidance on the Bank Holding Company Act and associated regulatory expectations and supervisory requirements for the bank’s parent entity, Upstart Holdings, Inc., including Federal Reserve bank holding company reporting obligations (e.g., FR Y-series reports).

• Assist the bank in its interactions with its primary federal regulator (OCC), the FDIC, and the Federal Reserve by preparing for and responding to examinations, while advising internal stakeholders on the implications of CAMELS ratings and strategies to uphold strong supervisory standing.

• Support intercompany agreements and processes for affiliate transactions, which involve Regulation W analysis, documentation, monitoring, and collaboration with Treasury, Accounting, Tax, and Regulatory Counsel.

• Develop and sustain legal processes that facilitate examination readiness, including thorough documentation, consistent operational rhythms, and prompt responses to regulatory or supervisory inquiries.

• Collaborate across functions to pinpoint governance, regulatory, or affiliate transaction considerations pertinent to new products, business initiatives, and banking operations.

• Oversee special corporate and banking projects as required, which may include bank regulatory examinations, governance improvements, internal policy updates, and coordination with external counsel.


⛳️ Requirements

• Juris Doctor (J.D.) degree and active membership in at least one U.S. state bar.

• Over 7 years of experience in banking law, bank regulation, corporate governance, or financial services legal work at a law firm, financial institution, fintech, or regulated bank.

• Proficient understanding of OCC regulations, the National Bank Act, Bank Holding Company Act, and Regulation W.

• Experience in advising on corporate governance issues for a bank, bank holding company, or other regulated financial entities, including affiliate transaction monitoring, intercompany agreement frameworks, and bank governance controls.

• Background in supporting OCC examinations, supervisory responses, or other engagements with bank regulators.

• Familiarity with Federal Reserve bank holding company reporting and navigating supervisory frameworks like CAMELS ratings.

• Experience in identifying and handling conflicts of interest between a bank and its affiliates, especially those arising from dual-hatted employees holding roles at both the bank and a parent holding company.

• Proficiency in drafting or reviewing board minutes, committee charters, governance policies, resolutions, or intercompany agreements.
