This is a fully remote position, open to applicants in New Jersey.
β’ Act as the primary legal advisor to the CEO, Board of Directors, and executive leadership team.
β’ Collaborate with business leaders to assess strategic initiatives, growth potential, operational risks, and regulatory changes.
β’ Provide pragmatic, business-oriented legal counsel that fosters growth while managing enterprise risks.
β’ Lead the legal department and set priorities that align with the Company's strategic goals.
β’ Serve as Corporate Secretary for the Board of Directors and its committees.
β’ Counsel directors and executives on matters related to corporate governance, fiduciary duties, securities legislation, and best practices in governance.
β’ Supervise board meetings, resolutions, minutes, governance policies, and corporate records management.
β’ Ensure adherence to applicable public company reporting and governance standards.
β’ Direct all legal functions, which include commercial contracts, employment law, litigation, labor relations, intellectual property, privacy, cybersecurity, regulatory compliance, and government contracting issues.
β’ Manage internal investigations, ethics programs, and compliance efforts.
β’ Guarantee effective oversight of legal and regulatory risks across both domestic and international operations.
β’ Work with executive leadership to identify, evaluate, and mitigate enterprise risks.
β’ Offer legal insights regarding strategic, operational, financial, and reputational risks.
β’ Oversee litigation strategies, dispute resolution processes, and the engagement of outside counsel.
β’ Advise on intricate commercial agreements, strategic partnerships, outsourcing contracts, mergers and acquisitions, divestitures, and other business dealings.
β’ Assist in procurement, customer contracts, and go-to-market strategies.
β’ Ensure that legal frameworks facilitate revenue growth while safeguarding the Company's interests.
β’ Build, lead, and nurture a high-performing legal team.
β’ Manage both internal legal professionals and external legal resources.
β’ Juris Doctor (JD) degree from an accredited law school.
β’ Active legal license to practice in at least one U.S. jurisdiction.
β’ Over 15 years of progressive legal leadership experience, with substantial in-house counsel exposure.
β’ Proven experience advising public company boards, CEOs, and executive leadership teams.
β’ In-depth knowledge of corporate governance, securities law, employment law, compliance, litigation management, commercial contracting, and enterprise risk management.
β’ Established ability to lead global legal teams in complex, highly regulated environments.
