General Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee all SEC reporting responsibilities, including the preparation and review of 10-K, 10-Q, 8-K, and proxy statements.

• Lead the compliance efforts for the Sarbanes-Oxley Act.

• Manage board governance, including committee charters, D&O insurance, and assessments of director independence.

• Enhance the company's existing legal framework and guide team members towards ongoing success.

• Oversee the company’s equity plans, such as stock options, RSUs, and 409A valuations.

• Provide support during shareholder requests, regulatory investigations, or legal proceedings.

⛳️ Requirements

• A minimum of 10 years of legal experience.

• Background in a public company setting or as external counsel for public companies, particularly in an Emerging Growth Company (EGC) context.

• Extensive, practical knowledge in SEC reporting, Sarbanes-Oxley compliance, corporate governance, and the operations of public companies.

• Strong foundation in equity compensation, employment law, and executive agreements.

• Juris Doctor degree from an accredited law institution.
