General Counsel

This is a fully remote position, open to applicants in Germany.

📋 Description

• Provide legal support for Spark's institutional offerings, including SparkLend, Spark Prime, and Spark Savings.

• Draft, negotiate, and oversee complex commercial contracts with institutional partners.

• Establish strategic alliances with banks, custodians, asset managers, fintech companies, and infrastructure providers.

• Assist in the formulation of lending, financing, and commercial partnership agreements.

• Create scalable contracting processes, legal playbooks, and standardized agreement templates.

• Collaborate closely with the Business Development team during enterprise sales cycles to enhance commercial execution.

• Offer guidance to leadership on commercial negotiations, transaction structures, and legal risks.

• Counsel leadership on corporate governance and strategic legal issues.

• Aid in capital raising efforts, strategic investments, and corporate transactions.

• Manage external legal counsel across various jurisdictions.

• Assist with international expansion and entity structuring initiatives.

• Provide advice on DAO governance and decentralized governance frameworks as needed.

• Support governance documentation and legal matters related to protocols.

• Oversee Spark's intellectual property strategy, including software licensing, open-source licensing, and technology agreements.

• Develop scalable frameworks for legal risk management.

• Assist with regulatory compliance efforts and internal governance policies.

• Offer legal counsel regarding AML/KYC, sanctions, and third-party risk where applicable.

• Manage litigation and external legal disputes as necessary.

⛳️ Requirements

• A minimum of 10 years of legal experience, with a substantial amount of in-house experience.

• Licensed attorney in a major jurisdiction (US, UK, EU, or equivalent).

• Background in supporting rapidly growing technology or financial services firms.

• Strong expertise in negotiating complex commercial agreements.

• Experience advising executive leadership on strategic legal issues.
