πŸ“‹ Description

β€’ Deliver focused financial screening, modeling, and Investment Committee preparation support for acquisition prospects within Pallas Software Group.

β€’ Develop financial insights on targets, providing Portfolio Managers with thorough and consistent analysis for PQs and modeling prior to transition to the M&A Execution team.

β€’ Collaborate with all Portfolio Managers under the guidance of the Finance Director, prioritizing competing origination and diligence requirements.

β€’ Evaluate incoming and adviser-introduced opportunities against group investment criteria and hurdle rates, recommending to pursue, watch-list, or pass with a written rationale.

β€’ Maintain and update target maps and market intelligence utilizing public, paid, and proprietary resources.

β€’ Assist adviser and intermediary relationships by logging opportunities and coordinating follow-ups.

β€’ Monitor market developments, funding rounds, leadership changes, competitor acquisitions, and distress signals.

β€’ Construct acquisition models that encompass revenue quality, recurring revenue, cohorts, churn, retention, EBITDA, working capital, cash conversion, IRR, and payback under various scenarios.

β€’ Prepare Investment Committee documents and provide supporting materials, investment thesis, valuation range and bridge, key risks, integration assumptions, and return scenarios.

β€’ Coordinate due diligence workstreams involving finance, legal, technical, and personnel contributors; maintain the diligence tracker and issues log; translate findings into model and price adjustments.

β€’ Assist in deal structuring, including consideration splits, earn-out mechanics, deferred consideration, escrow, set-off, and operational ring-fence provisions.

β€’ Track post-completion performance against acquisition models and incorporate variances into future underwriting.

β€’ Manage financial qualification and target status in the shared pipeline alongside the BD Manager.

β€’ Document notes and information in the group CRM on behalf of Portfolio Managers.

β€’ Generate regular pipeline reports detailing vertical and geographic coverage, stage conversion rates, and pipeline aging.

β€’ Maintain competitive and valuation reference sets across active software verticals.


⛳️ Requirements

β€’ At least 2 years of experience in a financial analysis role with direct exposure to M&A: transaction services, corporate development, lower midmarket M&A, or growth/debt financing.

β€’ Strong modeling skills β€” capable of creating an acquisition model from complex management accounts and a trial balance without a template, and able to defend assumptions in front of an Investment Committee.

β€’ Knowledge of software business economics: recurring revenue, retention and expansion, gross margin structure, implementation and services drag, and hosting costs.

β€’ Comfortable managing multiple stakeholders and priorities simultaneously, taking direction from the Finance Director on where to direct efforts at any given time.

β€’ Establishes credibility with a Portfolio Manager and a founder's finance director within the same week.

β€’ Communicates clearly and concisely in writing.

β€’ Self-motivated, with sound judgment on when to escalate issues and when to proceed independently.

β€’ Exposure to vertical market software in any sector is desirable.

β€’ Experience in a buy-and-build, holding company, or serial acquirer environment with a high-volume, small-ticket deal model is desirable.

β€’ Familiarity with earn-out design and post-acquisition performance measurement is desirable.

β€’ Working knowledge of share purchase agreements, disclosure letters, and warranty and indemnity insurance, sufficient to work effectively with legal counsel without replacing them is desirable.

β€’ Proficiency in additional European languages is considered a bonus.
