This is a fully remote position, open to applicants in New York.

📋 Description

• Oversee the formation and establishment of entities for emerging businesses.

• Supervise equity and debt financing activities, including structuring and negotiations.

• Prepare and negotiate commercial agreements.

• Provide guidance on matters related to corporate governance and compliance.

• Offer advice on employment law and strategies for equity compensation.

• Manage capitalization tables along with associated documentation.

• Facilitate mergers and acquisitions (M&A) transactions.

• Act as “outside general counsel” for clients.

• Address various general corporate legal issues as necessary.

• Collaborate closely with the Managing Partner to provide client-centered solutions.

• Stay updated on advancements in On-chain and Crypto technologies.

⛳️ Requirements

• Juris Doctor (J.D.) degree with a strong academic record.

• Membership in the New York State Bar is preferred, although admission in another jurisdiction is acceptable.

• 2–8 years of experience in a law firm focused on Emerging Companies & Venture Capital (ECVC) or a similar practice area, or in-house experience within a technology firm.

• Familiarity with blockchain technologies is preferred but not mandatory.

• Outstanding project management, analytical, and communication skills, both verbal and written.

• Demonstrated capability to work autonomously while maintaining connectivity in a remote work setting, especially if located separately from other team members.
