This is a fully remote position, open to applicants in United States.
• Act as the main internal resource for the organization regarding legal, contractual, compliance, and risk-related issues.
• Collaborate with executive leadership on business, operational, and strategic initiatives.
• Engage proactively in client interactions, strategic partnerships, and new business ventures to identify risks and facilitate informed decision-making.
• Evaluate legal and regulatory risks and create practical, business-aligned solutions.
• Assist leadership in assessing and reducing legal exposure throughout the organization.
• Liaise with external counsel on specialized legal issues as necessary.
• Offer insights on the legal and contractual ramifications of new business models, services, technologies, and strategic initiatives.
• Draft, review, negotiate, and manage a variety of commercial agreements, including retained search agreements, consulting engagement letters, vendor contracts, partnership agreements, and NDAs.
• Develop and sustain contract templates, playbooks, standards, and approval workflows.
• Counsel business leaders on contractual obligations, risk distribution, and commercial terms.
• Ensure compliance with off-limits, non-solicitation, exclusivity, confidentiality, and related contractual commitments.
• Lead the contract lifecycle management processes, encompassing intake, approvals, repository management, reporting, and governance.
• Create training resources, reporting structures, and scalable contracting processes to enhance organizational efficiency, risk management, and business performance.
• Support Modern's data privacy and information governance initiatives, ensuring compliance with relevant privacy laws and regulations.
• Formulate and maintain policies regarding data handling, retention, confidentiality, and information security.
• Provide counsel on AI usage, data governance, intellectual property issues, and technology-related risks.
• Collaborate with Technology and Operations on vendor agreements, data processing requirements, security assessments, and governance of emerging technologies.
• Aid the firm's compliance program and oversee adherence to applicable laws, regulations, and industry standards.
• Maintain corporate governance records and assist with entity management activities.
• Develop and uphold legal, compliance, and operational policies and procedures.
• Organize compliance training and assist with regulatory inquiries, audits, and compliance reviews.
• Work with leadership to identify, evaluate, and mitigate legal, contractual, operational, and regulatory risks.
• Manage disputes, claims, litigation, and other legal matters in coordination with outside counsel as needed.
• Advise leadership on conflicts of interest, off-limits obligations, restrictive covenant issues, candidate ownership concerns, and other unique risks associated with executive search and leadership advisory services.
• Protect and enforce Modern's intellectual property and proprietary assets.
• Assist with insurance, claims management, and organizational risk reporting.
• Collaborate with Human Resources on employment-related matters, including employee and independent contractor agreements.
• Review employment contracts, policies, separation agreements, and associated documentation.
• Ensure compliance with employment laws and regulations in collaboration with outside counsel when necessary.
• Support employment-related risk assessments, policy formulation, and workplace compliance initiatives.
• Manage relationships with outside counsel and specialized legal service providers.
• Oversee legal budgets and external legal expenditures.
• Coordinate specialized support for litigation, employment issues, regulatory inquiries, intellectual property cases, and international legal matters.
• Assess external resources to ensure effective and cost-efficient support.
• A bachelor's degree is required.
• Over 5 years of experience in legal affairs, commercial contracts, compliance, risk management, legal operations, paralegal leadership, or related legal support roles.
• Proven experience in drafting, reviewing, negotiating, and managing commercial agreements.
• Experience in supporting compliance, governance, risk management, or related business functions.
• Familiarity with data privacy principles, data governance practices, and information management requirements.
• Strong business acumen with the ability to balance legal, operational, and commercial aspects.
• Exceptional written, verbal, negotiation, and stakeholder management abilities.
