This is a fully remote position, open to applicants in New York.
• Assist in the structuring and negotiation of joint ventures, partnerships, and co-investment agreements with institutional capital partners, which includes multi-tiered JV / PropCo / DevCo frameworks, LLC and shareholder contracts, distribution mechanics, waterfalls, term sheets, and more.
• Facilitate the negotiation of hyperscale data center leases, including long-term NNN build-to-suit agreements, letters of intent, lease agreements, and associated development contracts with hyperscalers, neoclouds, and other tenants.
• Aid in land transactions across various jurisdictions, encompassing purchase and sale agreements, letters of intent, option contracts, exclusivity arrangements, and conditions linked to planning, power, and environmental issues.
• Support cross-border transactions in the U.S., Europe, and APAC, coordinating with local counsel on jurisdiction-specific structuring, regulatory, tax, and real estate obligations.
• Assist in equity capital raises and co-investment initiatives, including diligence coordination, information rights, confidentiality agreements, and investor documentation.
• Direct and oversee outside counsel across different jurisdictions, communicating deal strategy, assigning tasks, reviewing deliverables, and ensuring that the business perspective is incorporated into all documentation; manage legal budgets and timelines.
• Perform commercial and legal due diligence on potential partners, co-venturers, tenants, and counterparties; offer strategic advice on credit risk, structural risk, and deal alignment.
• Provide guidance on portfolio-level issues arising from JV arrangements, including exclusivity scope, investment opportunity distribution, governance, information rights, and exit mechanisms.
• Oversee the entire deal execution process, from term sheet to closing, balancing legal rigor with commercial objectives.
• JD from an accredited law school.
• Admitted to practice in at least one U.S. State or the District of Columbia.
• 7–12 years of experience in transactional work related to real estate, data centers, or infrastructure development, with significant time spent on the principal or sponsor side, or at a law firm advising developers, sponsors, or investors on similar transactions.
• Experience in the data center sector, particularly in hyperscale leasing or build-to-suit development, is strongly preferred.
• Familiarity with European or APAC real estate or infrastructure transactions and cross-border JV structures is strongly preferred.
• Previous in-house experience at a data center developer, real estate investment platform, or infrastructure fund is strongly preferred.
• Self-motivated individual with outstanding judgment and business acumen; possesses a strong commercial mindset and enjoys engaging closely with the business.
• Practical experience in negotiating JV/LLC agreements, real estate purchase and sale contracts, and long-term commercial leases.
• Understanding of institutional capital structures, including promote/waterfall mechanics, preferred returns, and governance and control provisions.
• Proven capability to manage outside counsel effectively, including foreign local counsel, reviewing outputs, and ensuring accountability to the business objectives of each deal.
• Comfortable working in a dynamic, global, high-growth environment with shifting priorities while balancing legal precision with business strategy.
• High emotional intelligence with excellent interpersonal skills and a proven ability to establish trust with internal stakeholders and external partners.
• Record of independently managing complex deals and translating legal considerations into actionable business recommendations.
