This is a fully remote position, open to applicants in California, +1 more state.
β’ Act as a trusted senior legal advisor to Corporate Development, Finance, Investor Relations, and other business units on intricate, high-impact issues, providing practical, business-oriented legal solutions.
β’ Lead and assist in M&A, strategic transactions, and related financing from due diligence through closing and integration, which includes transaction structuring; drafting and negotiating definitive agreements; managing external counsel; advising on legal, governance, and risk issues related to integration; and supporting strategic investments alongside Corporate Development and Finance teams.
β’ Collaborate with our Total Rewards team and independent compensation advisors to evaluate and provide guidance on executive compensation matters, encompassing plan design, operation, and related disclosure issues.
β’ Work closely with our Stock team on equity-related topics, such as equity plan administration, employment-related equity arrangements, ESPPs, and associated disclosure matters, offering clear, risk-balanced advice that aligns with business goals.
β’ Provide support to Docusign's Board of Directors and executive management on a wide range of corporate issues; plan, prepare, and organize materials for Board and Board committee meetings.
β’ Counsel on corporate and securities law matters for a public company, including the preparation and review of SEC filings (registration statements, Forms 10-K, 10-Q, 8-K, and Section 16 filings), disclosure controls and procedures, and adherence to stock exchange listing requirements.
β’ Organize and manage the preparation of the proxy statement and the planning and execution of the annual meeting.
β’ Collaborate with investor relations and communications teams on various IR and stockholder engagement issues, including investor presentations, quarterly earnings reports, scripts, and considerations related to Regulation FD.
β’ Supervise corporate secretarial and entity management functions.
β’ Keep track of and evaluate legislative and regulatory developments that may impact the company, providing actionable recommendations to internal stakeholders regarding risk, compliance, and strategic implications.
β’ Exhibit leadership within the legal team by working alongside other attorneys, establishing best practices, and fostering a collaborative, solutions-focused legal culture.
β’ Plan and implement additional corporate projects in partnership with the Deputy General Counsel and/or General Counsel.
β’ Juris Doctor (JD) degree from an ABA-accredited law school.
β’ Active membership in good standing with at least one U.S. state bar.
β’ A minimum of 15 years of relevant experience, including time spent at a major law firm and in-house.
β’ Proficiency in corporate law, corporate governance standards, and current trends.
β’ Experience in drafting, negotiating, and leading strategic transaction documentation.
β’ Knowledge of equity compensation plans and executive compensation.
