Deputy Chief Compliance Officer

📋 Description

• Oversee the daily operations of Tidal's comprehensive compliance framework.

• Unify investment company trust compliance, investment guideline compliance, investment adviser compliance, and due diligence into a singular operational model.

• Establish benchmarks, foster accountability, challenge business practices, drive remediation efforts, and enhance visibility of risks prior to incidents occurring.

• Manage enterprise-wide privacy, cybersecurity, conflicts of interest, employee conduct, service provider oversight, regulatory changes, and lead the compliance team.

• Utilize data, workflow automation, and governed AI to enhance surveillance, testing, evidence gathering, issue management, regulatory changes, and board reporting.

• Report directly to the Chief Compliance Officer while collaborating with the General Counsel, senior management, fund boards, independent trustees, and leaders throughout Tidal.

• Direct the Rule 206(4)-7 compliance program and controls pertaining to portfolio management, trading, best execution, conflicts of interest, Codes of Ethics, Marketing Rule, disclosures, regulatory filings, and record-keeping.

• Supervise pretrade and posttrade monitoring, rule coding, data integrity, exception governance, and escalation concerning investment guidelines.

• Manage Rule 38a-1 compliance across various ETF trusts, which includes program administration, annual reviews, risk-based testing, service provider oversight, board reporting, and remediation of Material Compliance Matters.

• Develop a risk-tiered due diligence program for sponsors, advisers, subadvisers, portfolio managers, index providers, and essential service providers.

• Establish compliance infrastructure for a captive broker-dealer in alignment with the Securities Exchange Act of 1934 and FINRA regulations.

• Act as a senior escalation point while maintaining a consolidated view of material compliance risks, control failures, open issues, and remediation efforts.

• Integrate Compliance throughout the product lifecycle, which includes concept development, registration statement filing, onboarding, launch, and material changes.

• Provide thorough oversight for derivatives, Rule 18f-4 compliance, leverage, custom baskets, commodity interests, and digital asset-related exposures.

• Lead preparedness for regulatory examinations and inquiries, including responses and remediation across the SEC, CFTC, NFA, and other relevant regulators.

• Build a technically proficient, cross-trained compliance team while maintaining the independence of the Compliance function.

• Exercise delegated authority to mandate remediation and, when authorized, halt onboarding, filings, launches, trades, marketing initiatives, or any activities with outstanding material requirements.


⛳️ Requirements

• Minimum of 12 years of progressive experience in investment management compliance, including leadership roles in ETF, Rule 38a-1, and Rule 206(4)-7 programs.

• Established credibility with complex products and operational models, such as options, swaps, futures, leverage, inverse strategies, commodity interests, or digital asset-related exposures.

• Proven track record of managing a complex function, streamlining it, and creating scalable systems that significantly reduce risk.

• Responsible utilization of data, automation, and AI technologies.

• Exceptional judgment and communication skills, with the ability to advise a CEO and fund board, challenge senior leaders, and make difficult decisions.

• Previous experience as a Deputy CCO, named CCO, or senior leader in a multi-series fund complex, ETF platform, or multi-manager environment is highly preferred.

• A relevant professional credential is an advantage.
