This is a fully remote position, open to applicants in Colorado.
• Establish strong working relationships with Sales, Deal Desk, Revenue Operations, and other business stakeholders to facilitate customer and channel transactions.
• Examine, draft, and negotiate a variety of commercial agreements, including SaaS, BaaS, software, professional services, channel agreements, and NDAs, escalating complex or high-risk matters as necessary.
• Deliver practical, commercially-oriented legal advice to Sales and business stakeholders, aiding negotiations while ensuring that significant legal, regulatory, privacy, and commercial risks are properly identified, assessed, and managed, as well as providing guidance on compliance, data protection, and internal approval requirements.
• Assist in developing practical solutions to contractual and commercial challenges, aligning business goals with appropriate risk mitigation and escalation when needed.
• Recognize potential contractual, legal, or operational issues during negotiations and proactively collaborate with internal stakeholders to resolve them efficiently, minimizing the risk of disputes or delays.
• Contribute to the development and continuous enhancement of contract templates, negotiation playbooks, and legal processes.
• Aid in the creation and presentation of training and awareness resources to help business stakeholders understand legal risks, contracting principles, and company approval processes.
• Work collaboratively with colleagues across the Legal department and foster a positive, supportive, and high-performing team culture.
• Evaluate and provide advice on data processing arrangements, customer privacy requirements, and related contractual obligations, closely collaborating with specialized privacy colleagues and senior legal team members to ensure that risks are thoroughly understood and managed.
• Qualified attorney with approximately 3–8+ years of post-qualification experience, acquired in a reputable law firm and/or an in-house legal department.
• Experience with commercial contracts, preferably within a software, SaaS, cloud technology, or broader technology firm.
• Proficient drafting, contract review, and negotiation abilities, with experience supporting customer and/or partner transactions.
• Capability to provide practical, concise, and commercially-oriented legal advice to business stakeholders.
• Experience working with, or a keen interest in supporting, sales organizations and commercial teams in a dynamic environment.
• Understanding of privacy and data protection issues arising in commercial technology transactions, including customer contracting requirements related to the processing, transfer, storage, and protection of data.
• Confidence in managing a high volume of matters, effectively prioritizing tasks, and knowing when to seek input or elevate issues.
