Counsel

This is a fully remote position, open to applicants in California.

📋 Description

• Oversee, negotiate, and manage third-party contracts, encompassing a variety of agreements.

• Evaluate and analyze current contract templates while creating new ones.

• Provide support and guidance to internal clients regarding the company's contract management system.

• Collaborate effectively with other in-house attorneys and paralegals within the Legal Department.

• Design and facilitate legal training sessions for employees.

• Conduct research, analyze findings, and offer recommendations to business partners to address legal matters.

• Draft contract summaries and issue lists for executive review.

• Ensure adherence to internal business and legal processes within the company.

⛳️ Requirements

• 2-5 years of experience as in-house counsel or a mix of in-house, government, and/or experience at a reputable law firm.

• Juris Doctorate from an accredited law institution.

• Licensed to practice in California or licensed in another state with the ability to obtain in-house counsel registration in California.

• An undergraduate degree in life sciences or a healthcare-related field is preferred but not mandatory.

• Proficient in contract law, showcasing strong drafting, reviewing, and proofreading abilities.

• Familiarity with contracts and understanding of essential provisions such as indemnities, limitations of liability, intellectual property, warranties and covenants, regulatory clauses, performance obligations, dispute resolution, termination, and other vital contract negotiation topics.

• Capable of building solid relationships with colleagues and partners across functional teams.

• Exceptional written and verbal communication skills.

• Comprehensive knowledge of Microsoft Office applications, including Word, Excel, PowerPoint, Outlook, and Windows, along with document comparison tools.

• Willing to travel on a limited basis as required.
