This is a fully remote position, open to applicants in New York.
β’ Provide guidance to the Board of Directors and executive leadership regarding corporate governance issues, including fiduciary responsibilities, board operations, and industry best practices.
β’ Create, evaluate, and uphold corporate governance documents such as bylaws, charters, policies, resolutions, and committee materials.
β’ Assist in fulfilling public company compliance requirements, which encompass proxy statements, annual meetings, SEC filings, and disclosure obligations.
β’ Manage entity oversight, corporate records, and subsidiary governance to guarantee adherence to relevant laws and internal standards.
β’ Over 6 years of experience in corporate governance, securities, or representing public companies.
β’ Extensive knowledge of corporate law, SEC regulations, proxy rules, and practices related to board governance.
β’ Active license and in good standing within a U.S. state.
