This is a fully remote position, open to applicants in United States.
• Negotiate, draft, and review commercial agreements to support Smartsheet's sales initiatives, encompassing contracts related to online subscription software, data privacy and processing, intellectual property usage, and professional services.
• Provide strategic and practical legal counsel to teams worldwide throughout the organization, including sales and procurement departments.
• Assist in the management or support of a software channel partner program, which includes drafting, negotiating, and advising on reseller agreements, partner onboarding documents, and adherence to channel policies.
• Collaborate with all members of the Legal team spread across various office locations, including both attorney and non-attorney staff.
• Contribute to the ongoing enhancement of document templates, alternative language playbooks, and internal resource materials.
• Offer training and guidance to staff on legal matters, best practices, and company policies.
• Support general business operations by addressing requests for assistance from different areas of the company as necessary.
• Complete special projects as assigned.
• A minimum of 5 years of relevant legal experience, ideally in-house within a cloud software company.
• At least 3 years of experience in drafting and negotiating technology contracts, including software licenses, software-as-a-service (SaaS) agreements, software development contracts, and professional services agreements.
• Juris Doctor (JD) degree from an accredited law school and an active member in good standing of a state bar.
• An AI-first mindset, capable of revising and utilizing AI-generated outputs in final deliverables.
• Experience in advising business teams on various issues related to commercial contracts, including direct collaboration with sales representatives on matters pertinent to customer contracts.
• Proficient in problem analysis and recommending practical solutions that balance legal and business risks effectively.
• Adept at fostering strong working relationships with other business units, despite conflicting priorities and interests.
• A strong commitment to upholding the company’s business standards and risk tolerance.
