This is a fully remote position, open to applicants in New York.
• Analyze realistic scenarios related to corporate law, capital markets, securities, venture financing, and mergers & acquisitions.
• Conduct a comparison of six blinded legal documents designated A–F against a shared comparator output through a series of five direct comparisons.
• Evaluate transaction structures, legal reasoning, supporting documents, disclosure schedules, securities offerings, closing requirements, legal opinions, financing arrangements, and transaction papers.
• Identify significant legal inaccuracies, omissions, unsupported conclusions, incomplete or flawed legal analysis, and weak legal arguments.
• Assess accuracy, completeness, judgment, coherence, practical applicability, and adherence to professional standards.
• Differentiate between substantive quality differences and minor stylistic preferences.
• Choose the superior legal work product based on substantive quality.
• Offer clear and detailed written justifications for each preference decision.
• Cite relevant strengths, weaknesses, omissions, along with legal and practical considerations.
• Utilize practical judgment based on corporate, M&A, capital markets, securities, venture, and emerging company transactions.
• Adhere consistently to project instructions and evaluation criteria.
• Licensed attorney with significant professional experience in corporate law, capital markets, securities, venture financing, or M&A.
• Extensive experience in one or more areas such as corporate transactions, mergers and acquisitions, seller disclosure schedules, Rule 144A / Regulation S transactions, capital markets closing opinions, and Series B or other venture financings.
• Capable of assessing legal work comprehensively for accuracy, completeness, judgment, and practical applicability.
• Strong skills in transactional legal analysis.
• Excellent command of written English.
• Comfortable evaluating competing legal strategies and articulating preference decisions.
• Able to operate independently according to detailed written instructions and timelines.
• All project work is subject to NDA and confidentiality obligations.
• External AI tools must not be utilized on project materials.
• Work must be executed without the use of confidential or proprietary information belonging to any employer, client, institution, or other third party.
• H1-B and STEM OPT support is not available for this position.
• Fully remote working arrangement.
• Part-time independent contractor engagement.
• Compensation ranging from $90 to $110 per hour.
• Approximately 24 hours of work throughout the engagement.
• Project duration may be extended, shortened, or concluded based on project requirements and performance.
