This is a fully remote position, open to applicants in Philippines.
• Prepare, assess, negotiate, and finalize a diverse array of commercial contracts, such as sales agreements, vendor contracts, partnership agreements, and non-disclosure agreements, in partnership with legal counsel and business stakeholders.
• Oversee the contract lifecycle from initiation through execution and renewal, leveraging contract management systems and best practices.
• Ensure that all contracts adhere to company policies, legal standards, and industry regulations.
• Recognize and address contractual risks, proposing solutions and alternative language to safeguard Instructure’s interests.
• Act as the primary contact for internal teams (Sales, Finance, Product, etc.) concerning contract-related queries and offer guidance on contractual terms and conditions.
• Create and sustain contract templates, playbooks, and processes to enhance efficiency and consistency.
• Track contract performance and compliance, resolving any discrepancies or issues that may arise.
• Support the creation and delivery of training for internal teams on contract processes and key terms.
• Keep accurate and organized contract records and documentation.
• Engage in special projects and initiatives related to contract management and legal operations.
• Bachelor’s degree in Business Administration, Legal Studies, or a related area. A Juris Doctor (J.D.) degree is advantageous.
• 3-5 years of experience in contracts management, legal operations, or a similar position, preferably in a technology or software organization.
• Strong comprehension of contract law, commercial terms and conditions, and legal principles.
• Demonstrated experience in drafting, negotiating, and reviewing a variety of complex commercial agreements.
• Outstanding written and verbal communication skills, with the ability to convey complex legal concepts clearly to non-legal audiences.
• Exceptional attention to detail and organizational capabilities.
• Capacity to manage multiple priorities, work autonomously, and meet deadlines in a dynamic environment.
• Proficiency in contract lifecycle management (CLM) software and other relevant business tools (e.g., Salesforce).
• Strong analytical and problem-solving skills.
• Ability to foster strong relationships and collaborate effectively with diverse teams.
