• Review, draft, negotiate, and edit agreements, primarily focusing on the company’s sales and procurement contracts.
• Act as the system administrator or super-user for the Legal Team’s contract lifecycle management platform (CLM) (e.g., DocuSign IAM).
• Assist with the implementation, enhancements, and ongoing optimization of the CLM.
• Help manage the Legal Sales database utilizing DocuSign IAM, Microsoft Office Suite, and other applications.
• Collaborate with Sales, Finance, and IT to automate the contract process.
• Oversee assigned agreements throughout the entire contracting process, from execution to implementation.
• Work closely with the Security and Finance teams as needed during the negotiation of agreements.
• Maintain a comprehensive understanding of the Company’s internal components (such as Sales, Customer Implementation, Security, Accounts Receivable, Procurement, etc.) and familiarity with the Company’s products and services.
• Support the sales department in completing and executing the contract process.
• Collaborate with other departments to facilitate the completion of third-party questionnaires and compliance requests.
• Assist with various compliance issues as needed, including data privacy and ethics.
• Aid in corporate governance and entity management activities, such as corporate filings and policy management.
• Maintain the Legal Team's files and procedures, focusing on contract administration and compliance matters.
• Comfortable working with a variety of commercial agreements—sales, procurement, and content licensing/distribution—and accustomed to collaborating with business stakeholders across different functions. Previous experience with all three is ideal; experience with two and interest in the third is acceptable.
• Practical experience in administering or configuring a CLM platform (DocuSign IAM is strongly preferred).
• Experience in designing or enhancing legal workflows, automations, or intake systems.
• Background in supporting privacy operations (DSARs, customer inquiries, privacy questionnaires) and compliance programs (SOC 2, data protection, and provider sanction review).
• Minimum of three (3) years’ experience in negotiating agreements (sales, procurement, or licensing) and performing administrative functions for compliance, privacy, or corporate governance projects in either an in-house or law firm environment.
• Associate/Bachelor's degree, Paralegal certification, or JD candidates are preferred.
• Ability to thrive in a fast-paced environment, navigating organizational and geographical boundaries, while meeting deadlines.
• Proficient in contract negotiation and collaboration with other teams throughout the entire contracting process.
• Capable of proactively prioritizing, multitasking, and working effectively within a team.
• Proficient in Microsoft Office Suite, Adobe Acrobat, and DocuSign.
• Experience with Salesforce, HubSpot, and JIRA is a plus.
• Ability to work independently and manage time effectively.
• Strong problem-solving abilities and critical/analytical thinking skills.
